We coordinate the address arrangement, correspondence requirements and supporting documents for registering or changing the company’s address.

A company’s registered address and virtual office arrangements involved documents and deadlines spread across several people. ARG checked the company’s registry position, identified what needed to change, and coordinated the relevant records. Clear explanations helped the client understand the work required and made the process easier to follow.
That experience reflects the practical question many companies face when choosing an address in Bulgaria. A virtual office is useful only when the premises can support the company’s registered management address and the related tax or notice arrangements. The correct setup depends on what must be filed, where correspondence should go, and whether an address change affects connected records.
ARG can help when you need to
Confirm the town, postcode, street and premises details. The legal seat and full management address must be correctly reflected in the company documents and register.
Agree permitted address use, service duration, renewal and termination. Identify what access and mail handling the provider actually supplies.
Nominate a manager and backup for official post, scans and originals. Coordinate physical mail with monitored electronic channels and record receipt dates.
Check the owner/member decision, filing and any sector-specific premises requirements. Plan the change and correspondence handover before the current arrangement ends.
Bulgarian law distinguishes the company’s seat from its full management address. Under Article 12 of the Commercial Act, the seat is the town or city where the business is managed; the address identifies that management location. A virtual office is a contractual service that may provide premises-related arrangements and mail handling. Assess what the agreement actually provides and how the company will be organised, then enter a complete and accurate address. Buying a postal service alone does not answer every question about management, premises or correspondence.
A virtual office service becomes useful when the company needs a Bulgarian address for incorporation, ongoing registry maintenance, or a later address change, and the chosen premises can legitimately be filed as the management address. The official instructions require a specific physical location description, not just a contact point. That means the address must identify the place connected to management, rather than an undifferentiated postal box arrangement. The filing instructions also show that this address field is used across registry filings, so it is an enabling compliance input, not a separate regulated licence. Official filing instructions
The practical distinction is simple.
So if a client asks for a company address in Sofia, Varna, or Burgas, the relevant question is whether that exact premises can be used as the registered seat and address of management. If it can, the company may proceed with registration or an address change. If it cannot, the service may still be useful for correspondence, but not for the core registry filing. That distinction matters because the registry record is what third parties, authorities, and counterparties rely on.
The useful test is whether the address can be filed as the company’s management address, not whether it is convenient for receiving mail.
Before committing to an address, obtain the provider’s exact address and the basis on which the company may use it. Agree whether the service includes receiving registered mail, notifying a named manager, scanning documents, storing originals, forwarding post and access to meeting space. These are contract terms to establish, not features to assume from the label “virtual office”. Set a renewal date and an exit arrangement so correspondence remains covered while a replacement address is registered.
The registered management address and an address specified for correspondence serve different purposes. The registry’s filing instructions distinguish the management-address field from the Bulgarian address for correspondence with the National Revenue Agency. If you want an accountant or another location to handle tax communications, determine the appropriate notification or authorisation separately. An agreement with a mail provider does not by itself change official correspondence records or authorise that provider to act for the company.
This is important because a company can be perfectly validly registered at one address while wanting tax notices to go somewhere else. That may happen, for example, where the management address is part of a virtual office setup but the company wants a different place to receive tax correspondence in practice. The law and filing guidance allow for that separation, but only if the additional correspondence address is properly recorded. Otherwise, the management address remains the default contact point for the NRA.
The practical consequence is that an address decision can affect more than the Commercial Register. For Bulgarian local legal persons, the competent NRA territorial directorate is tied to the seat of the local legal person, and the correspondence address follows the management address unless another address is entered in BULSTAT. So a change to the registered management address can change where notices are directed in daily administration, even though it is not a separate tax registration in itself. Tax and Social-Insurance Procedure Code guidance
If a company keeps one address for registration and another for tax correspondence, it needs to be sure each address serves the correct legal function.
For an owner living abroad, the key arrangement is the route from receipt to action. Nominate the person who checks incoming messages, a backup contact and the method for delivering originals when required. Ask how the provider records the receipt date and identifies official communications. A scanned letter only helps if someone reviews it and acts in time. Keep access to electronic official channels alongside physical mail handling, and notify the provider immediately when the responsible manager or contact details change.
Give the provider the company’s exact registered name and EIK once available, and confirm how incoming post will be distinguished from correspondence for other companies using the same premises.
Tell us where you live, how your business works and what you want to change. We will help you identify the questions to resolve and the next steps to consider.
For a company address in Sofia, Varna, or Burgas, the Commercial Register filing must show the address in a structured form, not as a loose description or a mail drop. The registry instructions require the locality, postcode, municipality or district where relevant, street, number, entrance, floor, and the apartment or office where management is located. In other words, the filing has to identify the premises that support the company’s seat and address of management, and not merely a place where letters can be collected. Official filing instructions
That matters for a virtual office arrangement because the service only works if the premises can be presented in the registry as the company’s management address. If the address is in Sofia, Varna, or Burgas, the same rule applies. The city does not change the structure of the filing. What changes is the factual basis for the address and the local particulars that must be entered with precision. A bare business centre name or a shared mailbox description is not enough if the record needs an office or apartment that can be tied to management.
The practical work usually falls into three groups.
That separation is important. The Registry Agency guidance makes clear that representatives are not replaced by the address filing. So the address service helps with the premises element only. It does not cure missing corporate authority or substitute for the company’s management details. Registry Agency guidance Registry Agency help pages
Confirm the exact town, postcode, street and building number and any entrance, floor or office details with the provider. A commercial brand or shared building name may not identify the unit accurately. The agreement should establish permitted use, the service period and how termination affects post already received. For incorporation, align the address with the constitutional document. For an existing company, establish which corporate decision and updated document are needed for its legal form and current articles before submitting the registry change.
An address move should trigger a review of the company’s correspondence arrangements with the National Revenue Agency, the bank, accountant and contractual counterparties. Record which address each uses and whether a separate correspondence address or representative has been designated. If the seat changes to another city, ask the accountant to confirm the competent tax administration and the handling of any existing proceedings. Do not assume that a mail-forwarding contract changes the authority handling an already-open case.
Keep the former and new mail arrangements connected during the transition. Identify the date the premises arrangement begins, the date of the corporate decision, the filing date and the date the register changes. A provider should know what to do with letters received before and after termination. The manager should know who monitors registry instructions and any refusal. This practical handover is especially important when the company is managed from abroad and nobody will visit the old premises.
Before filing an address change, ask three questions.
After entry, verify the public record and update the company’s letterhead, website details and other business communications as required by Article 13 of the Commercial Act. Inform the bank through its designated customer-information procedure and provide the accountant with the effective change. Preserve the old and new address agreements and evidence of important notices. Updating one public field does not complete every private contract or internal administration task connected to the move.
A separate address for service of a registry refusal has a specific procedural purpose. The Registry Agency’s instructions for the notice section explain the choices for electronic communications and a Bulgarian refusal-service address. Complete this part deliberately and use a monitored email or permitted service address. It does not replace the company’s registered management address or create authority for an unrelated person to represent the company.
That distinction is useful because clients often assume that one Bulgarian address can solve every notice problem. In reality, the registry may use one address for the company’s official seat, another for tax correspondence if properly recorded, and a separate domestic address for service of a refusal where the rules allow it. Those are different legal functions, even when they point to the same office in practice. The safest approach is to choose the notice route only after checking whether the company wants electronic service for refusals, whether a different domestic address is actually needed, and whether the underlying premises can support all the roles the client expects from them.
Before submission, confirm who will check the application status and any instructions, who receives the refusal if one is issued, and who can obtain the original documents. When a provider changes, close the old arrangement only after the new receipt and notification process is working. ARG coordinates the address information and corporate filing with these handover tasks so the company’s registered details and actual communications remain connected.
Article 6(2) of the Registry Act supplies the general seven-day period for declaring registrable circumstances unless another law provides otherwise. Prepare the complete address and corporate decision before the filing becomes due. Moving within the same city can change the full address even though the seat remains the same; moving to another city changes both. For an EOOD or OOD, review the constitutional document and the competent owner or member decision, then use the relevant company application.
If the address change requires amending the constitutional document, include the euro capital update where applicable. The Registry Agency’s 3 September 2026 guidance explains the general 31 December 2028 deadline and earlier update when the document changes on another ground. A licensed activity may also have premises or establishment conditions that an address service does not itself satisfy. Describe your actual activity before choosing the location so those requirements can be checked with the relevant business setup.
If premises access is included, agree how visits are booked and who can obtain stored originals. Keep a current list of authorised recipients so confidential company records are released to the right person.
