Ownership, management, documents and the work after registration: a practical starting point for planning your Bulgarian company.

Before choosing a company name or signing a template, write down how the business will work. Who will own it? Who will make decisions and sign contracts? Where will the customers, staff and main operations be? These answers help determine the documents and the questions that registration alone will not resolve.
A Bulgarian limited liability company may have one owner, as an EOOD, or several owners, as an OOD. The choice should reflect the real arrangement between the founders. Discuss contributions, management powers and how important decisions will be taken before turning those decisions into founding documents.
If an owner is another company, prepare a clear picture of the ownership chain. Identifying the people who ultimately own or control the business is a separate task from listing its immediate shareholders. Whether a separate beneficial ownership filing or a Bulgarian contact person is needed must be checked for the actual structure.
Tell your adviser where each founder and manager will sign. Documents signed abroad may need a different preparation route, translation or legalisation. Agree the required form before arranging appointments or sending originals. This helps avoid repeating work because the recipient needs a different document or certification.
Registration, a bank account, VAT questions and permissions for a regulated activity are separate workstreams. A bank reviews the business and makes its own account-opening decision. The company’s intended activity should also be checked for any permissions needed before operations begin.
Ask for a written scope that distinguishes preparation and filing from official fees, notarisation, translations and later services. Arrange the accounting handover and document-sharing process before the business starts producing invoices and expenses. Keep the registration result, signed documents and list of outstanding tasks together so the company can move into regular operations with a clear record of what has been done.
