An ARG client had begun pursuing a commercial property investment without a clear sequence for the work. ARG reviewed the transaction history, supporting documents and risk points before anything irreversible was signed or submitted. Having one team oversee those connected steps helped the client follow the process beyond preparing individual documents.

That sequence matters because a commercial building, the land beneath it and a right to build create different legal and commercial positions. The same applies to investment certification. Its value depends on the project, the investor’s eligibility and whether permits, public property rules and development plans support the intended use.

ARG can help when you need to

  • Distinguish the building, land and development rights included in a proposed acquisition
  • Assess whether a project may fit investment certification and class A or class B support
  • Check developer status, planning documents and permit readiness before refurbishment or construction
  • Review support fees, public obligations, land rules and unresolved transaction costs

At a glance

(001)
Lawful intended use

Describe whether the asset will be a home, office, rental or business premises. Check permitted use, commissioning and any approvals needed for the actual activity.

(002)
Property and title documents

Provide the ownership deed, cadastral identifiers and available history. Every apartment, plot, garage and associated right must match the proposed transaction.

(003)
Lease and operating records

Provide leases, deposits, rent receipts, management terms and expense records. The actual letting model determines operational duties and the accounting information required.

(004)
A complete operating budget

Model financing, acquisition charges, maintenance, vacancy and required works. A headline purchase price or rent estimate does not show the cash needed to operate the asset.

Does the premises support the business that will use it?

A commercial property investment begins with the intended activity: an office, restaurant, shop, clinic, warehouse and accommodation business do not have the same premises requirements. Ownership does not by itself authorise the activity. Compare the current permitted use with the proposed fit-out, customer access, delivery arrangements, fire safety, ventilation, noise and any sector-specific approvals before valuing the opportunity on the assumption that it can open immediately.

For a let investment, review the leases as carefully as the title. Establish the real rent after incentives, arrears, indexation, break clauses, repair obligations and service charges. Ask whether security deposits or guarantees will transfer, whether the tenant can sublet, and whether a sale changes any contractual rights. A rent roll supplied by the seller should reconcile with signed contracts and actual receipts. Spatial Development Act.

For redevelopment, establish which changes require a new approval or lawful change of use and whether the landlord, neighbours, condominium or lender must agree. A planning possibility is not the same as an issued permit. The purchase agreement can make identified approvals or satisfactory investigations conditions of completion rather than leaving the buyer to finance a property that cannot deliver the intended business plan.

Keep the asset transaction separate from acquisition of the company owning it. Buying shares preserves the company's historical obligations as well as its assets and contracts. Tax, employment, litigation and financing review therefore becomes broader. ARG coordinates the property, commercial and professional tax input so the decision compares the actual risks and costs of each structure, including what happens if the main tenant leaves or the planned activity is delayed.

What ownership will the deed actually give you?

In Bulgaria, an apartment, the building, the plot underneath it and a right to build on somebody else's land can be separate legal interests. A listing that promises a house with a garden does not establish that the seller owns both. A parking space may be a separate property, an ideal share of a garage or only an agreed right of use. These differences affect resale, mortgage security and who can prevent you using an area you thought was included.

For a foreign buyer, identify the land element before choosing the purchaser. Article 22 of the Constitution governs acquisition of land by foreign persons through the applicable EU-accession arrangements, an effective international treaty or inheritance by law. Buying a building is not the same question as acquiring the land. A residence card alone does not settle the issue. Agricultural land also has a separate legal regime and needs its own eligibility and use analysis. Constitution, Article 22.

Ask for the complete title deed and cadastral documents, including annexes, garage and storage identifiers, shares in common parts and any building right. Compare that legal description with the floor plan, advertisement and proposed price. If a Bulgarian company is being considered as owner, review its ownership chain and the particular land restrictions before incorporation; a company is not a universal answer for every plot. ARG coordinates this classification before the purchaser pays a reservation fee, so the agreement describes the rights that can actually be transferred.

An ideal share is a fraction of the ownership right, not necessarily an exclusively owned physical corner of the plot or garage. If you expect sole use of a garden or parking area, examine the separate legal basis for that use and its effect on future owners. Ask who can change the arrangement and whether access depends on another property. These questions matter even when the fraction and the purchase price are clearly stated in the deed.

How do you establish the seller's title and the property's history?

The Bulgarian Property Register records deeds and other registrable acts affecting real estate. The cadastre identifies the physical and administrative description of the property. They answer different questions: a cadastral scheme is not, by itself, proof that the advertised seller has an unchallengeable title. Review the acquisition deed, the preceding ownership documents where needed and the registration entries together.

A certificate of encumbrances, commonly called an удостоверение за тежести, reports the relevant registered rights and burdens within the search requested. The Registry Agency requires identifying details, ownership documents and an up-to-date cadastral scheme or sketch for a property certificate. Its usefulness depends on correct property descriptions, owner names, predecessors and the period covered. An old address, changed plot number or incomplete ownership chain can require additional searches rather than a confident conclusion from one clean certificate. Registry Agency: property certificates.

Practical review should identify mortgages, attachments, registered claims, rights of use, leases and restrictions that matter to the transaction. Some issues arise outside an ordinary register extract: marital ownership, inheritance disputes, possession by another person or invalid authority to sign. Ask the seller for documents explaining each change of ownership instead of accepting a verbal assurance that the notary will resolve everything at completion.

ARG coordinates the document collection and the legal review with the appropriate professional partner. The result should say which entries must be removed, which rights will remain after purchase and which missing records prevent the transaction from proceeding. Update time-sensitive searches close to signing; a certificate describes a position at a particular time, not a permanent guarantee.

Can the project qualify for Bulgarian investment promotion support?

Investment certification concerns an eligible investment project, not simply the purchase of a building. The assessment considers the activity, qualifying investment, employment, location, financing and implementation commitments under the applicable programme. Passive ownership of an office or apartment should not be presented as automatically qualifying. Establish which entity will undertake the project and incur the eligible expenditure before relying on support in the financial model.

The Investment Promotion Act framework includes class A, class B, municipal class C and priority-project routes. Depending on the certificate and measure, support can include accelerated administrative services, individual administrative assistance, infrastructure or employment-related measures and specified property arrangements. These are separate benefits with their own conditions. Certification does not replace a building permit, guarantee funding or remove the investor's payment obligations. Ministry: investment promotion measures.

Prepare a project description connecting the property to the business operation: intended activity, required premises, capital expenditure, jobs, financing and milestones. Identify public liabilities, ownership restrictions and any state-aid conditions at the outset. The legal partner should test eligibility and application timing before the investor makes commitments that could affect the support route. A project forecast should also work if approval takes longer than expected or a particular measure is unavailable.

ARG coordinates the property and project information with the investment-support advisers and competent bodies. Compare the value of any available support with the obligations to complete, maintain and document the project. Keep a compliance record of the expenditure and jobs promised. If the business plan changes, establish the effect on the certificate or assistance before reducing employment, changing the activity or transferring the project asset.

What does an asset-holding company actually change?

An SPV, or special-purpose vehicle, describes a company organised for a defined asset or project. It is not automatically a separate Bulgarian legal form or an investment licence. A privately owned EOOD or OOD holding a property should not be confused with a regulated special-investment-purpose company or a fund. The intended activity, sources of capital and services supplied to others determine whether additional regulation is relevant.

When the company buys an asset, the company becomes owner. The shareholder owns shares, not the company's apartment or bank account directly. This can make co-investment, management and transfer of ownership interests easier, but it introduces company accounts, decisions, filings and a separate tax position. Limited liability is not an assurance that the asset is protected from the company's own creditors or a shareholder's personal guarantees. Registry Agency: company registration.

Before incorporation, decide who owns the shares, who manages, which decisions require investor consent and how capital enters and leaves. Distinguish paid-in capital, shareholder loans, third-party finance and distributions. Record beneficial ownership through the whole control chain. A nominee or foreign parent does not remove disclosure obligations or a bank's need to understand the natural persons who ultimately own or control the structure.

Compare an asset sale with a share sale, personal use with commercial letting and the consequences of death or disagreement between investors. Funding and exit documents should address those scenarios before the asset is acquired. ARG coordinates the corporate, property and accounting work with the relevant professionals. The structure should solve a defined ownership or governance problem at an acceptable ongoing cost; the label SPV alone gives neither tax relief nor unrestricted access to every category of Bulgarian land.

Let’s discuss your plans for Bulgaria

Tell us where you live, how your business works and what you want to change. We will help you identify the questions to resolve and the next steps to consider.

Can the building lawfully be used for your intended purpose?

In Bulgarian property transactions, Act 14, Act 15 and “Act 16” describe different construction milestones. They are not interchangeable assurances that a home is ready to occupy. Act 14 relates to acceptance of the structure. Act 15 records the participants' assessment of completion and readiness for acceptance, including unfinished or defective work. Neither alone is the final permission to use the building.

The final commissioning route depends on the construction category under the Spatial Development Act. For categories one to three, the procedure leads to a use permit through the construction-control authority. Categories four and five use a commissioning certificate issued by the competent permitting authority. Advertising often calls either result “Act 16”, so request the actual permit or certificate and confirm that it covers your unit, the relevant stage and the proposed use. Ministry guidance on commissioning.

This matters when a space marketed as a home is recorded as an office, studio or another nonresidential premises, or when an extension, terrace enclosure or pool differs from the approved project. A physical inspection should be matched with the approved plans and any lawful amendments. Utilities connected for construction work do not establish that residential occupation is permitted.

Before setting a moving date or accepting a tenant, identify any unfinished infrastructure, permanent electricity and water arrangements, access works and conditions attached to commissioning. A qualified technical specialist assesses the building's physical condition; the legal review establishes the documentary permissions. ARG coordinates those workstreams so you know which issue requires a seller remedy, additional consent, price adjustment or a different timetable.

Can a certified project obtain public-sector property without a tender?

A special investment-support route can sometimes permit a qualifying property transaction without an ordinary tender. The first question is the precise legal owner and property status: private state property, private municipal property and property owned by a public enterprise are not interchangeable categories. Public-use property cannot simply be treated as a market asset because an investor wants it for a development.

The Investment Promotion Act and its 2025 amendments prescribe particular arrangements for certified and priority projects, including valuation, permissions and conditions governing public-enterprise assets. The relevant certificate is only one element. Establish which statutory route applies to the actual seller, which body must approve it and what investment obligations will be written into the agreement. Avoid assuming that every certificate class confers the same acquisition or pricing rights. Investment Promotion Act: 2025 amendments.

Obtain the property's identity and ownership documents, planning position, proposed valuation method and draft transaction conditions. Check restrictions on onward transfer, project completion, employment or other performance requirements, together with the consequences of failure. A favourable acquisition procedure may be commercially unattractive if the investor cannot finance the promised works within the agreed period. Build required infrastructure, access and utility expenditure into that assessment.

Run title and development review alongside the support application. A certificate does not cure an encumbrance, create an access right or complete a detailed development plan. ARG coordinates the project file and public-body correspondence with the legal and technical advisers so the investor sees the actual approval sequence, costs and commitments before treating a particular public-sector site as secured.

What should be agreed before a deposit becomes binding?

A reservation form, preliminary agreement and final notarial deed perform different jobs. The first two may create binding payment or contractual duties even though they do not themselves complete the ordinary transfer of real estate. The label “deposit” does not explain whether a payment is refundable, credited to the price or retained if a party withdraws. Read the actual conditions and identify the recipient's right to receive the money.

The agreement should connect the price and payment dates to a sufficiently precise property description, the seller's authority, the expected state of title and the documents needed for completion. If financing, a mortgage release, a legal review or a building milestone is essential, put that dependency in the agreement. A verbal promise that a failed loan application will release the buyer offers little practical protection when the written document says the opposite. Notaries and Notarial Practice Act.

Allocate the consequences of delay and non-performance. State how notices are delivered, when a defect must be remedied, which amounts are repayable and when termination is available. A penalty clause is useful only if the trigger is clear and the obligation can be enforced against a solvent counterparty. For a company seller, check that the contracting company is the owner or has a documented right to sell; a familiar trading brand is not sufficient identification.

ARG coordinates review of the transaction papers and the unresolved conditions before you commit funds. Supply every version and annex, including broker terms, furniture schedules and side letters. Read them together: a protective clause in one document can be undermined by an inconsistent payment commitment in another.

Which costs and practical conditions belong in the budget?

The asking price is only one part of the commitment. Prepare separate figures for the purchase price, applicable acquisition tax, notarial and registration charges, any VAT treatment, financing charges, translation, professional review and the work required before occupation or letting. Rates and tax bases must be established for the actual municipality and transaction; a general percentage quoted in an advertisement is not a completion statement.

Keep acquisition costs separate from annual ownership expenditure. A condominium may collect management charges, repair-fund contributions or approved extraordinary expenditure. A resort or managed complex may also have a separate contractual maintenance fee. Request the governing documents, recent decisions, account statements and planned works. A low advertised annual fee may exclude an expensive repair already being discussed by owners. Notaries and Notarial Practice Act.

Check building insurance and the responsibilities of the insurer, lender, condominium and individual owner. Empty-property conditions, rental use and unapproved alterations can affect cover. If you will be abroad, designate someone to receive notices and respond to urgent repairs, with a clear spending limit and route for your approval.

Finally, align the money timetable with bank review and contractual deadlines. Funds that exist in an investment portfolio may not be available on the day a deposit is due. Asset sales, currency conversion, transfer checks and loan drawdown conditions each take their own place in the sequence. ARG coordinates a transaction checklist showing the client inputs and third-party dependencies. It helps you distinguish an agreed obligation from an estimate and identify which missing document or payment prevents the next step.

How should signing, payment and delivery fit together?

Completion has several distinct results: the deed is executed in the required form, the purchase price is paid under the agreed conditions, the deed is registered, and possession is delivered. These events do not always occur at the same moment. A practical completion plan names the document, responsible person and condition for each step, especially where a lender or representative participates.

The notary checks the transaction within the notarial procedure; your independent legal and technical review should already have addressed the commercial and property risks. Arrange translation or interpretation where required so the person signing understands the Bulgarian instrument. Confirm identity, marital-status information, corporate authority and any power of attorney in advance rather than discovering a formal defect on the planned signing day. Notaries and Notarial Practice Act.

For the payment, verify the beneficiary and account details through an established contact, including any lender settlement or agreed safeguarded payment arrangement. If a notarial special account or bank escrow is used, its release conditions must be agreed expressly. Do not assume that mentioning escrow in correspondence creates an operational account or obliges the holder to release funds on the conditions you expect.

Delivery deserves its own written record. Note keys, access cards, meter readings, furniture, visible defects, outstanding work and the agreed date of vacant possession. Where a tenant remains, record the lease documents, deposits and who receives rent after completion. ARG can coordinate the parties and collect the final deed, registration evidence and handover documents. This closing file supports later utility changes, insurance, tax reporting and eventual resale.

What must be ready before development or major refurbishment begins?

A construction permit, разрешение за строеж, authorises the specified works under the Bulgarian Spatial Development Act. The applicant must have the appropriate developer status, such as ownership or a valid right to build on another person's land. Buying shares in a company or signing a preliminary purchase agreement does not by itself establish that the person filing the application holds the required development right.

The planning sequence includes an effective detailed development plan where required and, for a regulated plot, its application under the relevant rules. A design visa, виза за проектиране, records applicable planning parameters and is required in the statutory cases. It is not an immigration document or a construction permit. The investment designs, conformity assessment, network arrangements and relevant special-law approvals then form the permit file for the actual project. Ministry: construction-permit procedure.

Ask the architect to identify which part of the business plan is supported by existing permissions and which depends on a new decision. A warehouse conversion may require different fire-safety, loading, access or use arrangements from the existing building. Obtain a schedule of dependencies, including land-use changes, access rights, utility capacity and any environmental procedure. Statutory processing periods for a complete request should not be presented as the total time needed to acquire, design and open the project.

Tie the acquisition commitments to this technical position. Where a crucial approval remains outstanding, define the required evidence, responsible party, deadline and consequences in the transaction documents. ARG coordinates the legal and technical work so the property budget includes the project that can actually be implemented, with a clear distinction between a seller's concept drawing, an approved design and a permit that can lawfully be acted upon.

What is the difference between source of funds and source of wealth?

Source of funds explains the economic origin of the money for a particular transaction. Source of wealth explains how the person accumulated their broader assets. The sending bank's name establishes a transfer route, not necessarily either source. Moving your own money between accounts does not create new wealth and does not, by itself, prove how the money was earned.

For a property payment funded by a business sale, show the sale agreement, your ownership of the interest sold, completion evidence and the receipt and onward movement of proceeds. If the purchaser paid in instalments, reconcile those amounts with the balance now available. For salary savings, employment and income records should fit the period over which the savings arose. For inheritance, link the estate documents to your entitlement, distribution and receipt. Bulgarian Measures Against Money Laundering Act.

A mixed payment needs a split explanation. Identify the amount from each source, the documents proving it and the account through which it moved. If a family member contributes, state whether the money is a gift, loan or payment on your behalf and provide the relevant evidence for that person where requested. Calling all incoming money “savings” can conceal the very distinction the reviewer needs to understand.

ARG helps arrange a chronological, document-supported explanation directed to the proposed transaction. The aim is not a persuasive story detached from the records but a file in which the reviewer can follow each material step. Where wealth arose many years ago, identify the original event and the surviving independent evidence. A declaration can have a role under the law, but it should not be treated as an automatic replacement for available underlying documents.

Borrowing requires its own evidence chain. The loan agreement explains the repayment obligation, while the lender’s payment and your account receipt establish disbursement. A related-party lender may also need to explain its ability to advance the amount. Distinguish an approved facility from money already drawn and available. Loan proceeds can fund a purchase but do not represent an equal increase in your net wealth, because the repayment liability remains. Include that liability when explaining the overall financial profile and do not describe borrowed funds as earned income.

When can VAT change the price or return on a property investment?

VAT treatment depends on the transaction, the supplier and the use of the property. It is separate from corporate income tax and municipal acquisition tax. A price described as exclusive of VAT can therefore produce a different cash requirement from the same nominal price stated as inclusive. Establish the seller's position and the treatment of deposits before agreeing the payment schedule.

Article 45 of the Bulgarian VAT Act distinguishes land, regulated development plots, building rights, new and non-new buildings and different forms of letting. The exemption for residential letting to an individual who is not a trader is not a general exemption for commercial premises or accommodation services. The Act also permits an election to tax certain otherwise exempt property supplies. An old building's appearance alone does not settle the legal classification of the whole transaction. VAT Act, Article 45.

Before treating VAT as recoverable, identify the buyer's registration position and the activities for which the acquired asset will actually be used. Taxable business use, exempt letting and private occupation can have different input-tax consequences. A later change of use or disposal can require a correction. A forecast that assumes immediate full recovery should therefore be tested against the intended operating model, invoices and documentary conditions.

Have the tax adviser prepare the VAT assumptions alongside the property contract and financing plan. Distinguish price, tax charged, recoverable tax and any amount that remains a cost. For mixed assets, make clear what is transferred with the unit, including land, parking and separate equipment. ARG coordinates these questions before signing so neither a company structure nor a seller's short description substitutes for a transaction-specific VAT calculation.
