ARG had already gathered information about estate and succession planning but remained unsure how to turn it into action. ARG coordinated the related property, banking and private client work into a clear sequence, showing what remained outstanding, why it mattered and which decisions or documents needed attention next.

That practical problem is common when family wealth involves Bulgarian assets, several beneficiaries or connections with another country. Estate planning is not only about writing a will. It also means understanding who would inherit by default, which transfers may be challenged, which law governs the succession and whether the assets can be transferred smoothly after death.

ARG can help when you need to

  • Map statutory heirs, family relationships and Bulgarian or cross-border assets before choosing a succession document.
  • Check the formal requirements for a handwritten or notarial will before it is executed.
  • Test proposed gifts or bequests against reserved shares and identify the evidence needed for the family file.
  • Coordinate residence, nationality, title, banking and civil-status records for cross-border succession implementation.

Complete family information

Provide marriage, divorce, birth and earlier gift or will records. Family ownership and protected heirs can change who must sign and what can be transferred.

(002)
Assets and liabilities mapped

List property, accounts, shares, debts and guarantees, including those abroad. An inheritance decision must consider liabilities as well as the assets the family wants to retain.

Your intended succession outcome

Identify intended beneficiaries, proposed allocations and any lifetime gifts, alongside existing wills and continuity wishes. Separate lifetime transfers from inheritance on death so the required form and protected-heir limits can be assessed.

How can a will change the statutory inheritance outcome?

Succession concerns the transfer of a deceased person's assets, rights and obligations. Where Bulgarian succession law governs, children and a surviving spouse are central to the statutory order; the precise shares depend on the relatives surviving the deceased. An unmarried partner does not acquire the status of a spouse merely by sharing a home. Before choosing beneficiaries, map the family relationships and establish which assets actually belong to the person making the plan.

The Bulgarian Inheritance Act recognises handwritten and notarial wills. A handwritten will must be written entirely by the testator, dated and signed, with the signature after the dispositions. A typed document signed at the bottom is not thereby a valid Bulgarian handwritten will. A notarial will follows a prescribed procedure involving the testator, notary and two witnesses. A power of attorney is not a substitute for the testator making their will. Bulgarian Inheritance Act.

Distinguish leaving the whole estate or a fraction of it from leaving a specific asset. The Act treats universal dispositions and particular legacies differently, including the beneficiary's legal position. Identify the asset accurately and consider what happens if it is sold or the intended beneficiary dies first. An alternative beneficiary can be useful, but a clause ordering one heir to preserve and pass the inheritance on at their own death raises separate statutory limits.

ARG coordinates the family and asset information with the lawyer and notary. Bring existing wills from every country, earlier gifts, marriage records, ownership documents and the intended distribution. Agree how the original will is held and located. A carefully drafted document still needs a practical discovery and implementation plan after death, especially where beneficiaries do not live in Bulgaria.

Which country's law governs a family estate connected with Bulgaria?

Regulation (EU) 650/2012 separates the place where an asset is located from the law governing succession as a whole. Under Article 21, the usual connecting factor is the deceased's habitual residence at death, subject to the Regulation's exceptions. Habitual residence reflects the person's actual life; it is not automatically the address printed on a permit or a simple tax-day count.

Article 22 permits a person to choose the law of a nationality they hold when making the choice or at death. A person with several nationalities can choose one of those national laws. The choice must satisfy the Regulation's requirements and should be coordinated with existing wills. It is not a general freedom to choose whichever country's succession rules seem most attractive. Under Article 20, the relevant law can be that of a non-EU state. Regulation (EU) 650/2012.

The Regulation does not determine inheritance tax, matrimonial-property ownership, the creation and administration of trusts or all company-law consequences. Bulgarian property-registration requirements also remain relevant. A nationality-law choice therefore cannot be assumed to remove every Bulgarian formality, land restriction or tax obligation.

Prepare a country-by-country estate map showing citizenship, habitual residence, family, property, accounts, companies and existing testamentary documents. Consider which authority can issue the documents the heirs will use, and whether a European Certificate of Succession is appropriate for a participating-state cross-border case. It provides evidence of relevant status and powers; it does not create a universal exemption from local registration requirements. ARG coordinates the Bulgarian information and professional advisers in the other relevant jurisdiction so a new document supports, rather than accidentally revokes or contradicts, the wider estate plan.

Can a lifetime gift or will leave protected heirs without their share?

Where Bulgarian succession law applies, descendants, a surviving spouse and, in the circumstances provided by law, parents can have a reserved share. The reserved share, запазена част, is the legally protected part of the estate; the remainder is the disposable portion. Its size depends on the family composition, not on a universal percentage applicable to every estate.

A will or lifetime gift that infringes a protected share may be reduced through the legal process. Giving the property away before death is therefore not automatically a way to eliminate inheritance claims. The calculation can require identifying the estate, relevant liabilities and gifts included under the statutory rules. The fact that the gift was validly notarised does not alone answer the later reserved-share question. Bulgarian Inheritance Act.

Start by listing the surviving-family scenarios, assets and liabilities, previous gifts and any rights retained by the donor. A retained right of use can protect occupation during life, but it should be considered separately from the question of ownership and the beneficiaries' protected rights. If the intended recipient is outside the protected family circle, assess whether the proposed value fits within the disposable portion and what other assets could support a balanced plan.

For a dispute after death, the identity of the recipient, acceptance by inventory where legally required, valuation and procedural time limits can affect the claim. Do not rely on a general statement that an heir has been “disinherited”. ARG coordinates the estate information for the lawyer's calculation and documentation. The objective is to make the intended distribution workable, including liquidity and the practical ability to divide or retain a property, rather than leave the family with an avoidable forced sale.

Does a spouse or another family member have a right in the asset?

The name appearing on an acquisition document may not tell the whole matrimonial-property story. Under the Bulgarian statutory community regime, rights acquired during marriage through joint contribution can be common property even where only one spouse appears in the deed. Personal property, agreed separation and a valid matrimonial agreement may produce another result. An international marriage requires a separate applicable-law assessment rather than an automatic assumption that Bulgarian community rules govern.

Before buying, selling, gifting or pledging an asset, establish when and how it was acquired, the marriage dates and the relevant property regime. Documents showing inheritance, a gift or the use of personal funds may be material. If the home is the family home, additional consent or protection questions may arise even where ownership itself is personal. A spouse's consent is not interchangeable with a power of attorney to sign for that spouse. Bulgarian Family Code.

For a divorce, death or succession plan, distinguish the surviving or former spouse's own property rights from their entitlement to inherit or receive a division. Only the deceased's share belongs to the estate. Calculating inheritance on the entire family property can therefore produce the wrong answer before the inheritance rules are even applied.

Provide marriage and divorce records, any matrimonial agreement, acquisition deeds and the evidence of funding. Resolve differences in names or civil-status documents early, particularly if the events occurred abroad. ARG coordinates the family and property questions with the legal partner so the transaction identifies every necessary owner or consenting person and the document is not prepared on an incomplete account of the family position.

Who inherits if Bulgarian law applies and there is no effective will?

The statutory order begins with the deceased's descendants. Children inherit equal shares, with the statutory representation rules allowing descendants to take a deceased or disqualified ancestor's branch where applicable. Under Article 9 of the Inheritance Act, a surviving spouse inheriting with children receives a share equal to each child's share. An unmarried partner is not treated as a spouse merely because the couple lived together.

Without descendants, the surviving parents inherit under Article 6, subject to the spouse's rights. More remote ascendants, siblings and their descendants enter through the later statutory orders. A spouse's share alongside ascendants or siblings differs from the spouse-and-children rule and can depend on whether the marriage had lasted ten years when the inheritance opened. Do not use one equal-share formula for every family composition. Bulgarian Inheritance Act.

For example, if the estate contains only the deceased's own half of a jointly owned home and the heirs are a spouse and two children, the three inherit equal portions of that estate under the ordinary spouse-and-children rule. The spouse's pre-existing ownership is considered separately. Dividing the entire home into three would overlook that distinction. International matrimonial-property rules must first establish what belonged to the deceased.

Prepare a family tree supported by birth, marriage, adoption, divorce and death records, including earlier marriages and deceased relatives whose children may inherit by representation. Locate all wills and any renunciations or other relevant proceedings. The applicable succession law is determined before the Bulgarian statutory order is used. ARG coordinates these records with the lawyer so the proposed estate plan addresses the actual heirs, their protected rights and the assets available for distribution, rather than relying on assumptions about nationality or who currently lives in the property.

Let’s discuss your plans for Bulgaria

Tell us where you live, how your business works and what you want to change. We will help you identify the questions to resolve and the next steps to consider.

What should an heir do before accepting or disposing of the estate?

An inheritance may include liabilities as well as valuable assets. Under Bulgarian law, acceptance can be express or follow from conduct that unequivocally shows an intention to accept. Selling an estate asset or otherwise acting as owner can therefore have consequences that a family member did not intend. Acceptance and renunciation cannot simply be limited to the attractive property while excluding the debts.

Acceptance by inventory, приемане по опис, is a specific legal procedure that can limit liability in accordance with the Inheritance Act. Article 61 provides a three-month period from learning that the inheritance has opened, with a possible judicial extension of up to a further three months. Minors and other protected cases have special rules. Seek the appropriate legal step promptly rather than waiting until every overseas document has arrived. Bulgarian Inheritance Act.

Obtain the death record, proof of family relationships, available wills, ownership and bank records, loan and guarantee information, and details of any pending proceedings. Establish whether the heirs certificate accurately reflects the family chain. A certificate is evidence; a missing relative or foreign civil-status event is not resolved by treating an incomplete certificate as the source of inheritance rights.

Once the entitlement and acceptance position are established, coordinate property records, bank procedures, municipal obligations and any division between heirs. A European Certificate of Succession may assist in an appropriate cross-border case, but receiving institutions still need the documents relevant to their function. ARG organises the Bulgarian asset and document work with the legal partner. Keep preservation of the estate, payment of necessary expenses and disposal of assets distinct until the heirs' authority and liability position are clear.

What does an asset-holding company actually change?

An SPV, or special-purpose vehicle, describes a company organised for a defined asset or project. It is not automatically a separate Bulgarian legal form or an investment licence. A privately owned EOOD or OOD holding a property should not be confused with a regulated special-investment-purpose company or a fund. The intended activity, sources of capital and services supplied to others determine whether additional regulation is relevant.

When the company buys an asset, the company becomes owner. The shareholder owns shares, not the company's apartment or bank account directly. This can make co-investment, management and transfer of ownership interests easier, but it introduces company accounts, decisions, filings and a separate tax position. Limited liability is not an assurance that the asset is protected from the company's own creditors or a shareholder's personal guarantees. Registry Agency: company registration.

Before incorporation, decide who owns the shares, who manages, which decisions require investor consent and how capital enters and leaves. Distinguish paid-in capital, shareholder loans, third-party finance and distributions. Record beneficial ownership through the whole control chain. A nominee or foreign parent does not remove disclosure obligations or a bank's need to understand the natural persons who ultimately own or control the structure.

Compare an asset sale with a share sale, personal use with commercial letting and the consequences of death or disagreement between investors. Funding and exit documents should address those scenarios before the asset is acquired. ARG coordinates the corporate, property and accounting work with the relevant professionals. The structure should solve a defined ownership or governance problem at an acceptable ongoing cost; the label SPV alone gives neither tax relief nor unrestricted access to every category of Bulgarian land.

When is inherited property subject to municipal inheritance tax?

Inheritance tax is a local tax, separate from personal income tax and from deciding who legally inherits. Article 31(2) of the Local Taxes and Fees Act exempts the surviving spouse and heirs in the direct line without a degree limit. Direct-line relatives include parents, children and further ancestors or descendants; a sibling, niece, nephew or unmarried partner is not in that category. Prove the relationship through civil-status records rather than assuming that a shared surname establishes the exemption.

For taxable inheritance shares, the municipality selects a rate within the statutory bands: 0.4–0.8 percent for siblings and their children, and 3.3–6.6 percent for other persons, applied above the statutory per-share threshold. The legacy threshold of BGN 250,000 converts to EUR 127,822.97 at the fixed rate. This is not a EUR 250,000 exemption and should not be applied to the entire estate before identifying each beneficiary's share. Local Taxes and Fees Act. Council Regulation (EU) 2025/1409.

Article 33 values the taxable assets at the opening of the succession. Bulgarian real estate uses the statutory tax valuation; vehicles use insurance value; securities and other assets have their specified valuation rules. The amount advertised by an estate agent is therefore not automatically the inheritance-tax value. Determine allowable liabilities and relief before allocating the taxable estate. For a foreign deceased owner, Bulgarian assets remain relevant even where the heirs live elsewhere.

Article 32 ordinarily requires the relevant municipal declaration within six months of the opening of the inheritance. Certain beneficiaries outside the specified close family categories have a period running from knowledge; later-discovered assets have their own reporting rule. The competent municipality normally follows the deceased's last residence, or the location of most Bulgarian property where the deceased lived abroad. The assessed tax is generally payable within two months of notice. ARG coordinates death and kinship records, asset values, debts and the municipal file while the lawyer separately addresses acceptance, reserved shares and title.

How do gifts, inheritance and family loans differ?

A gift transfers value without repayment; a loan creates an obligation to repay; inheritance arises because of death. These legal causes should match both the documents and the parties' actual intention. A transfer reference saying “family support” does not by itself establish which rules apply. This matters for municipal gift tax, bank evidence, the donor's estate plan and the recipient's later sale of an asset.

Under the Bulgarian Local Taxes and Fees Act, gifts between spouses and relatives in the direct line are exempt from gift tax. Direct line means, for example, parent and child or grandparent and grandchild. It does not automatically include siblings, cousins, an unmarried partner or a company owned by a family member. For taxable gifts, the municipality applies the legally permitted rate and valuation rules. A gift of real estate must also meet the required conveyancing form and registration procedure. NRA: gift-tax rules.

Prove the qualifying relationship with civil-status records, including the complete chain where a grandparent or a name change is involved. Establish any authentication and translation needed for foreign documents. A tax exemption does not eliminate notarial, registration or other transaction expenses. The inheritance-tax regime is separate and must be assessed against the heirs, assets and applicable rules rather than assuming all transfers within a family are identical.

For a loan, document the lender, borrower, amount, disbursement, repayment terms and any interest, then consider relevant tax-reporting duties. For a gift, preserve the donor's funding evidence as well as the recipient's receipt. ARG coordinates the choice and documentation with the professional adviser before the transfer, so the bank explanation, tax treatment and family plan describe the same transaction.

How do you establish the seller's title and the property's history?

The Bulgarian Property Register records deeds and other registrable acts affecting real estate. The cadastre identifies the physical and administrative description of the property. They answer different questions: a cadastral scheme is not, by itself, proof that the advertised seller has an unchallengeable title. Review the acquisition deed, the preceding ownership documents where needed and the registration entries together.

A certificate of encumbrances, commonly called an удостоверение за тежести, reports the relevant registered rights and burdens within the search requested. The Registry Agency requires identifying details, ownership documents and an up-to-date cadastral scheme or sketch for a property certificate. Its usefulness depends on correct property descriptions, owner names, predecessors and the period covered. An old address, changed plot number or incomplete ownership chain can require additional searches rather than a confident conclusion from one clean certificate. Registry Agency: property certificates.

Practical review should identify mortgages, attachments, registered claims, rights of use, leases and restrictions that matter to the transaction. Some issues arise outside an ordinary register extract: marital ownership, inheritance disputes, possession by another person or invalid authority to sign. Ask the seller for documents explaining each change of ownership instead of accepting a verbal assurance that the notary will resolve everything at completion.

ARG coordinates the document collection and the legal review with the appropriate professional partner. The result should say which entries must be removed, which rights will remain after purchase and which missing records prevent the transaction from proceeding. Update time-sensitive searches close to signing; a certificate describes a position at a particular time, not a permanent guarantee.

What ownership will the deed actually give you?

In Bulgaria, an apartment, the building, the plot underneath it and a right to build on somebody else's land can be separate legal interests. A listing that promises a house with a garden does not establish that the seller owns both. A parking space may be a separate property, an ideal share of a garage or only an agreed right of use. These differences affect resale, mortgage security and who can prevent you using an area you thought was included.

For a foreign buyer, identify the land element before choosing the purchaser. Article 22 of the Constitution governs acquisition of land by foreign persons through the applicable EU-accession arrangements, an effective international treaty or inheritance by law. Buying a building is not the same question as acquiring the land. A residence card alone does not settle the issue. Agricultural land also has a separate legal regime and needs its own eligibility and use analysis. Constitution, Article 22.

Ask for the complete title deed and cadastral documents, including annexes, garage and storage identifiers, shares in common parts and any building right. Compare that legal description with the floor plan, advertisement and proposed price. If a Bulgarian company is being considered as owner, review its ownership chain and the particular land restrictions before incorporation; a company is not a universal answer for every plot. ARG coordinates this classification before the purchaser pays a reservation fee, so the agreement describes the rights that can actually be transferred.

An ideal share is a fraction of the ownership right, not necessarily an exclusively owned physical corner of the plot or garage. If you expect sole use of a garden or parking area, examine the separate legal basis for that use and its effect on future owners. Ask who can change the arrangement and whether access depends on another property. These questions matter even when the fraction and the purchase price are clearly stated in the deed.

What can a representative do, and what must you authorise personally?

A Bulgarian power of attorney, пълномощно, allows another person to act in your name within the authority you grant. It does not transfer ownership to that representative. For a property transaction, the form of the authority and its certification must satisfy the requirements for the intended act. Agree the draft with the Bulgarian professional handling the transaction before signing it abroad; a general overseas notarisation may not provide the required certification of both signature and content.

Define the transaction, the property, the permitted price or price limit, payment destination and the actions the representative may take. Decide expressly whether they can amend the contract, receive money, borrow, mortgage, appoint another representative or contract in a potentially conflicting capacity. A wide authority may be convenient but exposes you to commitments you did not intend. A narrow authority can fail if it omits an essential registration or declaration. Notaries and Notarial Practice Act.

Foreign execution requires a country-specific route for authentication and translation. A treaty may remove an apostille requirement; in other cases an apostille or consular legalisation is needed. These formalities authenticate documents or signatures, not the commercial wisdom of the transaction. Arrange originals and certified translations within the completion timetable.

Before use, check that the authority remains effective and has not been revoked. Changes to the property, seller or price may require a new document. ARG coordinates preparation and transmission with the relevant lawyer and notary and keeps the client's substantive decisions separate from the representative's administrative work. Banking providers may require their own mandate or personal identification even where the property signing can proceed by proxy.

How do foreign documents become usable in a Bulgarian file?

A document issued abroad has two separate jobs: to establish the relevant fact and to meet the Bulgarian recipient's formal requirements. A company extract may prove representation; a birth or marriage record may prove a family link; a bank statement may prove receipt. Authentication does not make an irrelevant document relevant, and translation does not resolve a contradiction in the original.

Identify the country and issuing authority before ordering an apostille or legalisation. The applicable treaty or EU rule may remove that formality for a particular public document, while another document from the same country still requires it. A private agreement, foreign notarial act and civil-status certificate should not automatically be placed on the same route. Confirm the required form with the institution or professional receiving the document. Notaries and Notarial Practice Act.

Check spelling, transliteration, former names, dates and identity numbers across the complete set. If a marriage record uses a former surname and the property deed uses another, include the connecting evidence. For a foreign company, documents may need to establish not just that it exists but who can bind it, whether additional approval is required and whether its representative's authority remains current.

Keep originals, authentication pages and translations together. Agree whether the recipient accepts a certified copy, electronic extract or original, and how current the record must be for that purpose. ARG coordinates the document list and sequencing with the Bulgarian lawyer, notary, bank or accountant. The client supplies accurate source information and signs personal declarations where required. This avoids paying for a translation or courier shipment before finding that the underlying record does not establish the fact the transaction needs.

What must be updated with the municipality after a family transfer?

The municipal tax account is separate from the Property Register and from the owner's annual income-tax return. A deed may be registered successfully while the municipality still needs information about the taxpayer, an exemption or a circumstance that affects its assessment. Check the ownership shares, property identifier, correspondence address and tax account after completion rather than assuming that a notary has personally completed every subsequent administrative task.

Article 14 of the Local Taxes and Fees Act no longer imposes the same declaration on every ordinary purchase or gift. It provides official information flows for specified acquisitions, but retains particular duties, including company accounting information, inherited property and relevant changes not covered by the official records. Inherited property follows the Article 32 period under Article 14(6). Therefore a blanket instruction that every buyer must file within two months is as misleading as saying no owner ever needs to file. Local Taxes and Fees Act.

Vehicle tax also uses official registration information under Article 54, with exceptions requiring a declaration, including inherited or jointly owned vehicles and cases where the owner has no Bulgarian permanent address or seat. For an ordinary declarable acquisition, the applicable two-month period and its registration trigger must be distinguished from the inheritance period. Identify the competent municipality and evidence before transferring a family vehicle or claiming an exemption.

Keep acquisition tax, inheritance or gift tax, annual property tax and waste charges as separate entries. Article 28 provides ordinary property-tax instalments by 30 June and 31 October, with a five-percent discount for full payment by 30 April; these dates do not set the deadline for every local tax. ARG coordinates the transfer documents and municipal follow-up so the family can see what was transmitted officially, what remains to be declared and which liability or relief has actually been recorded.

Habitual residence reflects the person's actual life; it is not automatically the address printed on a permit or a simple tax-day count.
