A private client came to ARG with wealth planning documents and deadlines spread across several people. ARG began by reviewing what the family wanted to achieve, then organised the legal, tax and documentary work around those objectives. Clear explanations made the process easier to understand and reduced the uncertainty at the outset.

Private wealth tax planning matters when a family is deciding whether to retain, transfer or sell assets. The answer can depend on the asset type, acquisition date, holding period, trading venue and the way ownership entered the family. Residence, annual filing duties and municipal records may also affect the practical position.

ARG can help when you need to

  • Review investment and property disposals against Bulgarian tax exemptions
  • Distinguish inherited, gifted and bequeathed property from later sales
  • Assess possible dual residence under the Bulgaria and England treaty
  • Organise annual tax and municipal records for family assets

At a glance

(001)
Tax residence and transaction year

Identify your residence facts, relevant countries and planned dates. Immigration status and the bank account’s location do not settle the tax treatment.

(002)
Assets, income and planned changes

List property, investments, company interests and income streams, identifying their legal owner and recipient. Explain intended sales, gifts, distributions or moves before a tax structure is chosen.

(003)
Acquisition cost and disposal history

Supply the acquisition deed, price evidence and other relevant sales. Holding periods, asset type and documented cost determine whether relief or a taxable gain arises.

(004)
Existing tax and relief evidence

Bring prior returns, withholding certificates, foreign tax statements and documents supporting available relief. Identify pending assessments and planned transaction dates so liabilities and relief are assessed in the correct year.

Where are you tax resident, and which income does Bulgaria examine?

Tax residence is a factual and legal classification, not simply nationality, immigration permission or ownership of an apartment. Article 4 of the Bulgarian Personal Income Tax Act considers the statutory residence criteria, including presence for more than 183 days in a twelve-month period and the centre of vital interests. A Bulgarian permanent address does not make a person resident where the centre of vital interests is outside the country under the Act's exception.

The centre-of-interests assessment considers family, property, work or business and where the person manages their assets. Collect the actual facts: travel dates, home availability, employment, family location and management activity. A residence certificate supports a position but should correspond to those facts. Do not assume that spending fewer than 183 days in one calendar year automatically settles every domestic or treaty question. NRA: tax-residence criteria.

If two countries treat you as resident, the relevant double-tax treaty may apply a tie-breaker sequence. The exact treaty, income article and relief method must be checked for the countries involved. Bulgarian tax residents generally face taxation on worldwide income under the applicable rules, while nonresidents are assessed on relevant Bulgarian-source income. A foreign bank account does not by itself take income outside the Bulgarian analysis.

Plan the year of relocation before a major distribution, sale or retirement payment. Identify when income is legally acquired, which country can tax it, what was withheld and what evidence supports relief. ARG coordinates the facts with tax advisers in the relevant jurisdictions so returns and bank self-certifications use a coherent residence position. The objective is to claim the correct relief with evidence, not to change labels while the underlying life and business remain elsewhere.

A relocation chronology should distinguish physical arrival, availability of the family home, commencement of work and the dates of major receipts. Those events may fall in different months and need separate evidence rather than one assumed “move date”.

Why must each investment return be classified before tax is calculated?

A portfolio can produce dividends, interest, capital gains, distributions, redemptions and income from cryptoassets. These categories can have different tax bases, exemptions, acquisition dates and reporting routes. The broker's single profit figure may combine realised and unrealised changes, fees, currencies and returns that Bulgarian law treats differently. Start from the underlying transactions, not from the amount withdrawn to your bank.

For financial-asset disposals, Article 33 of the Personal Income Tax Act provides the relevant calculation framework for an individual outside the business regime. Article 13 contains exemptions for specified financial-instrument transactions meeting the statutory conditions. An instrument being listed somewhere, or an app describing it as an ETF, does not automatically establish that the actual disposal occurred on a qualifying market or within another permitted exemption. NRA: disposal income and exemptions.

Retain acquisition and disposal confirmations, asset identifiers, trading venue, dates, quantity, price, fees and currency information. Transfers between your own brokers need a carried-forward cost record. Corporate actions, inherited or gifted assets and a missing acquisition price can require a different calculation. Cryptoasset records should distinguish purchases, disposals, exchanges and transfers between wallets you own; a wallet transfer and a sale are not the same event.

For cross-border income, obtain foreign withholding evidence and test the applicable treaty and Bulgarian relief route. A tax paid overseas is not automatically creditable in any amount or against any Bulgarian liability. ARG coordinates the transaction history and the professional tax analysis before a planned exit or distribution. The deliverable should identify taxable events, available exemptions and evidence needed for the return, while preserving the separate investment decision for the client and appropriately authorised adviser.

When does company money become your personal money?

A company's bank balance belongs to the company. A shareholder needs a lawful basis for receiving money: a dividend, remuneration, loan repayment, reimbursement or another properly documented transaction. Each has different corporate, accounting and personal-tax consequences. Describing a transfer as an owner's withdrawal does not determine its treatment.

For individual dividend income, the Bulgarian Personal Income Tax Act provides a five-percent final-tax rate under Article 46(3), subject to the relevant domestic and treaty analysis. The supplementary definition of dividend also connects to concealed profit distribution. Payments to an owner or related person that do not reflect a genuine business purpose or market terms can therefore require review even where no formal dividend was declared. NRA: dividend definitions and tax.

Before distributing, confirm the available distributable result, the competent corporate decision and any restrictions arising from financing or the company's position. The company and the individual have different tax and reporting responsibilities. A Bulgarian-resident individual's foreign dividend may require personal reporting even though a Bulgarian company ordinarily handles withholding on its own distribution. Preserve gross amounts and foreign tax evidence, not only the net bank receipt.

For the bank file, connect the shareholder's ownership to the company accounts, distribution decision, tax treatment and payment. For a shareholder loan, keep the original loan agreement and movements showing that the amount repaid was actually advanced. ARG coordinates these records with the accountant and legal adviser so that the source-of-funds explanation and financial statements agree. This is especially useful before a property purchase: the company may have sufficient cash while the individual has not yet lawfully received funds available to complete.

When can a personal property sale be exempt from income tax?

The Bulgarian personal-income rules distinguish a qualifying private disposal from taxable gains and business activity. Article 13(1)(1) provides an exemption for one residential property where more than three years have elapsed between acquisition and disposal. It also addresses up to two properties, and agricultural or forestry properties irrespective of number, where more than five years have elapsed. “More than” matters: do not treat the third or fifth anniversary mechanically as a safe completion date without checking the actual dates and legal conditions.

The exemption is not a general promise that every seller pays no tax after holding an asset. The property's residential character, the number of disposals, the way it was acquired, the seller's tax residence and whether the activity is commercial all matter. Nonresidents have a separate final-tax analysis, including any applicable exemption, treaty or recalculation rules. A company selling its asset does not use the private individual's holding-period exemption. NRA: disposal income and exemptions.

Where Article 33 applies to a taxable personal property gain, the positive difference between disposal and documented acquisition price is reduced by the statutory ten-percent expense allowance. Evidence of acquisition cost therefore has practical value. A gifted asset or missing acquisition documents can produce a different tax basis; do not substitute an estate agent's estimate for the statutory rule.

Provide the acquisition deed, proof of price, the proposed sale date, improvement documents, all other relevant disposals in the year and your tax-residence facts. Model instalment payments and a foreign reporting obligation before agreeing the price. ARG coordinates the sale and tax work so the amount you expect to receive is assessed after relevant liabilities, rather than discovering them when the annual return is due.

An income-tax exemption for the seller does not remove every cost of transferring the property. Keep the seller’s income tax separate from municipal acquisition tax, notarial charges and registration fees, and state in the agreement which party bears each cost.

How do gifts, inheritance and family loans differ?

A gift transfers value without repayment; a loan creates an obligation to repay; inheritance arises because of death. These legal causes should match both the documents and the parties' actual intention. A transfer reference saying “family support” does not by itself establish which rules apply. This matters for municipal gift tax, bank evidence, the donor's estate plan and the recipient's later sale of an asset.

Under the Bulgarian Local Taxes and Fees Act, gifts between spouses and relatives in the direct line are exempt from gift tax. Direct line means, for example, parent and child or grandparent and grandchild. It does not automatically include siblings, cousins, an unmarried partner or a company owned by a family member. For taxable gifts, the municipality applies the legally permitted rate and valuation rules. A gift of real estate must also meet the required conveyancing form and registration procedure. NRA: gift-tax rules.

Prove the qualifying relationship with civil-status records, including the complete chain where a grandparent or a name change is involved. Establish any authentication and translation needed for foreign documents. A tax exemption does not eliminate notarial, registration or other transaction expenses. The inheritance-tax regime is separate and must be assessed against the heirs, assets and applicable rules rather than assuming all transfers within a family are identical.

For a loan, document the lender, borrower, amount, disbursement, repayment terms and any interest, then consider relevant tax-reporting duties. For a gift, preserve the donor's funding evidence as well as the recipient's receipt. ARG coordinates the choice and documentation with the professional adviser before the transfer, so the bank explanation, tax treatment and family plan describe the same transaction.

Let’s discuss your plans for Bulgaria

Tell us where you live, how your business works and what you want to change. We will help you identify the questions to resolve and the next steps to consider.

How is rental income treated for an individual owner?

For a Bulgarian tax-resident individual in the ordinary rental-income regime, taxable rent is generally calculated after the statutory ten-percent expense allowance under Article 31 of the Personal Income Tax Act. This is a prescribed allowance, not a system allowing the owner simply to deduct every actual repair, mortgage instalment and management fee. The applicable tax base and reporting route change where the owner is a company, a nonresident or is conducting a business activity rather than ordinary letting.

Who pays the rent matters. A Bulgarian business or self-employed tenant can have withholding and reporting duties, while a private tenant may leave the landlord responsible for advance tax. Annual reporting and quarter-specific rules must be checked alongside amounts already withheld. Ask for the payer's certificates and reconcile them with the bank receipts so that the same tax is neither omitted nor counted twice. NRA: rental-income rules.

For a nonresident, Bulgarian-source rent can be subject to final-tax rules. Treaty relief, an EU/EEA recalculation option and the owner's foreign return require separate examination. Owning a Bulgarian apartment does not automatically make the owner Bulgarian tax resident, and transferring rent to a foreign account does not change where the property is located.

Prepare a monthly record of gross rent, the period it covers, amounts actually received, withheld tax, deposits and adjustments. Include payments made by an agent on your behalf. ARG coordinates the property records with the accountant, who determines the correct return, payer obligations and deadlines from your residence, ownership and letting model. A dependable rental statement explains the gross transaction before showing the net cash available to you.

What if both Bulgaria and the United Kingdom treat you as resident?

Apply each country's domestic rules before using the treaty to resolve dual residence. The current instrument is the 2015 UK–Bulgaria Double Taxation Convention as modified by the Multilateral Instrument, not a separate treaty with England. It governs the covered taxes and relevant relief; it does not choose your immigration status or eliminate every filing requirement simply because one residence certificate has been obtained.

Article 4(3) applies a sequence for a dual-resident individual: a permanent home available, then the closer personal and economic relations where homes exist in both states, followed where necessary by habitual abode, nationality and ultimately competent-authority agreement. A permanent home means an available home in the treaty analysis, not simply a Bulgarian registered address or ownership of a second property. The facts must support the step that actually resolves the conflict. Current UK–Bulgaria Tax Convention.

Prepare a dated record of homes available, time spent, family location, employment, business management and relevant financial connections. Identify the income year and transactions being analysed. The UK tax year and Bulgarian calendar-year reporting do not align automatically, so one broker statement or a single annual travel total may not answer both countries' questions. Supply evidence of foreign tax paid when relief is claimed.

Treaty residence also does not mean every Bulgarian receipt becomes untaxable. Article 6 permits taxation of income from immovable property in the state where the property lies, and capital gains and other income have their own articles. The relevant relief mechanism must then be applied to avoid double taxation where appropriate. ARG coordinates the factual file between the Bulgarian and UK advisers so the residence conclusion, income classification and relief claim follow the same transaction history.

What must be updated with the municipality after a family transfer?

The municipal tax account is separate from the Property Register and from the owner's annual income-tax return. A deed may be registered successfully while the municipality still needs information about the taxpayer, an exemption or a circumstance that affects its assessment. Check the ownership shares, property identifier, correspondence address and tax account after completion rather than assuming that a notary has personally completed every subsequent administrative task.

Article 14 of the Local Taxes and Fees Act no longer imposes the same declaration on every ordinary purchase or gift. It provides official information flows for specified acquisitions, but retains particular duties, including company accounting information, inherited property and relevant changes not covered by the official records. Inherited property follows the Article 32 period under Article 14(6). Therefore a blanket instruction that every buyer must file within two months is as misleading as saying no owner ever needs to file. Local Taxes and Fees Act.

Vehicle tax also uses official registration information under Article 54, with exceptions requiring a declaration, including inherited or jointly owned vehicles and cases where the owner has no Bulgarian permanent address or seat. For an ordinary declarable acquisition, the applicable two-month period and its registration trigger must be distinguished from the inheritance period. Identify the competent municipality and evidence before transferring a family vehicle or claiming an exemption.

Keep acquisition tax, inheritance or gift tax, annual property tax and waste charges as separate entries. Article 28 provides ordinary property-tax instalments by 30 June and 31 October, with a five-percent discount for full payment by 30 April; these dates do not set the deadline for every local tax. ARG coordinates the transfer documents and municipal follow-up so the family can see what was transmitted officially, what remains to be declared and which liability or relief has actually been recorded.

How do foreign documents become usable in a Bulgarian file?

A document issued abroad has two separate jobs: to establish the relevant fact and to meet the Bulgarian recipient's formal requirements. A company extract may prove representation; a birth or marriage record may prove a family link; a bank statement may prove receipt. Authentication does not make an irrelevant document relevant, and translation does not resolve a contradiction in the original.

Identify the country and issuing authority before ordering an apostille or legalisation. The applicable treaty or EU rule may remove that formality for a particular public document, while another document from the same country still requires it. A private agreement, foreign notarial act and civil-status certificate should not automatically be placed on the same route. Confirm the required form with the institution or professional receiving the document. Notaries and Notarial Practice Act.

Check spelling, transliteration, former names, dates and identity numbers across the complete set. If a marriage record uses a former surname and the property deed uses another, include the connecting evidence. For a foreign company, documents may need to establish not just that it exists but who can bind it, whether additional approval is required and whether its representative's authority remains current.

Keep originals, authentication pages and translations together. Agree whether the recipient accepts a certified copy, electronic extract or original, and how current the record must be for that purpose. ARG coordinates the document list and sequencing with the Bulgarian lawyer, notary, bank or accountant. The client supplies accurate source information and signs personal declarations where required. This avoids paying for a translation or courier shipment before finding that the underlying record does not establish the fact the transaction needs.

When can VAT change the price or return on a property investment?

VAT treatment depends on the transaction, the supplier and the use of the property. It is separate from corporate income tax and municipal acquisition tax. A price described as exclusive of VAT can therefore produce a different cash requirement from the same nominal price stated as inclusive. Establish the seller's position and the treatment of deposits before agreeing the payment schedule.

Article 45 of the Bulgarian VAT Act distinguishes land, regulated development plots, building rights, new and non-new buildings and different forms of letting. The exemption for residential letting to an individual who is not a trader is not a general exemption for commercial premises or accommodation services. The Act also permits an election to tax certain otherwise exempt property supplies. An old building's appearance alone does not settle the legal classification of the whole transaction. VAT Act, Article 45.

Before treating VAT as recoverable, identify the buyer's registration position and the activities for which the acquired asset will actually be used. Taxable business use, exempt letting and private occupation can have different input-tax consequences. A later change of use or disposal can require a correction. A forecast that assumes immediate full recovery should therefore be tested against the intended operating model, invoices and documentary conditions.

Have the tax adviser prepare the VAT assumptions alongside the property contract and financing plan. Distinguish price, tax charged, recoverable tax and any amount that remains a cost. For mixed assets, make clear what is transferred with the unit, including land, parking and separate equipment. ARG coordinates these questions before signing so neither a company structure nor a seller's short description substitutes for a transaction-specific VAT calculation.

How should a family coordinate Bulgarian deadlines across several owners?

Build the calendar by taxpayer and legal event. A person, their holding company and a jointly owned property do not share one tax return merely because they belong to the same family. Record the owner, income type, responsible adviser, evidence required, filing deadline and payment account. Include a date for receiving the documents, so a deadline is not the first day anyone asks the foreign broker or property manager for information.

For an individual's ordinary rental income, the NRA guidance identifies quarterly advance-tax duties and the annual return, with a special fourth-quarter withholding election where applicable. These dates should be coordinated with company reporting and foreign obligations, not treated as one universal 30 April deadline. Property acquisitions, gifts and succession can create event-based local obligations with their own rules; they need an entry when the event occurs rather than waiting for the personal income-tax season. NRA: rental-income rules.

Separate a statutory deadline from a family decision. A dividend may require an approved distribution and available funds; an asset sale may require enough time to establish acquisition cost and obtain foreign tax evidence. Give each adviser the same transaction chronology, residence facts and ownership map. Where one country taxes income that another exempts or credits, record the relief mechanism and supporting documents instead of assuming that a payment abroad eliminates Bulgarian reporting.

ARG coordinates the family administration, follows up missing evidence and records who has approved, filed and paid. Require completion receipts and reconcile payments with liabilities. Revisit the calendar after a relocation, marriage, death, company reorganisation or new rental activity. This allows the family to use available relief and maintain continuity without asking a single member to remember every professional's deadline or circulate passwords for everyone else's accounts.

Which country's law governs a family estate connected with Bulgaria?

Regulation (EU) 650/2012 separates the place where an asset is located from the law governing succession as a whole. Under Article 21, the usual connecting factor is the deceased's habitual residence at death, subject to the Regulation's exceptions. Habitual residence reflects the person's actual life; it is not automatically the address printed on a permit or a simple tax-day count.

Article 22 permits a person to choose the law of a nationality they hold when making the choice or at death. A person with several nationalities can choose one of those national laws. The choice must satisfy the Regulation's requirements and should be coordinated with existing wills. It is not a general freedom to choose whichever country's succession rules seem most attractive. Under Article 20, the relevant law can be that of a non-EU state. Regulation (EU) 650/2012.

The Regulation does not determine inheritance tax, matrimonial-property ownership, the creation and administration of trusts or all company-law consequences. Bulgarian property-registration requirements also remain relevant. A nationality-law choice therefore cannot be assumed to remove every Bulgarian formality, land restriction or tax obligation.

Prepare a country-by-country estate map showing citizenship, habitual residence, family, property, accounts, companies and existing testamentary documents. Consider which authority can issue the documents the heirs will use, and whether a European Certificate of Succession is appropriate for a participating-state cross-border case. It provides evidence of relevant status and powers; it does not create a universal exemption from local registration requirements. ARG coordinates the Bulgarian information and professional advisers in the other relevant jurisdiction so a new document supports, rather than accidentally revokes or contradicts, the wider estate plan.
