A finished-looking apartment may still lack transferable title or lawful commissioning. ARG helps distinguish completion, conveyance and repayment claims, including disputed price increases and project mortgages.

“The developer missed handover but wants another instalment and a higher price. Can we refuse, and will we still get the apartment?” Questions like this bring overseas buyers to ARG. The useful answer starts with the promised milestone, the rights already acquired and the company actually owing completion and transfer.
ARG can arrange advice and representation by authorised Bulgarian attorneys in situations such as these.
A preliminary contract generally creates a contractual claim and must be distinguished from an actual transfer of a property right.
Physical progress, transferability, delivery and lawful use require separate documents and analysis.
Completion, a final contract, termination and defect remedies address different forms of nonperformance.
The developer's financial position and competing rights affect the practical value of a judgment or settlement.
An off-plan buyer can hold a promise to receive property, an already transferred right to build, or ownership of an unfinished unit. These positions carry different remedies. The Bulgarian Obligations and Contracts Act (Закон за задълженията и договорите, ЗЗД) separates the written preliminary agreement under Article 19 from the notarial property transaction under Article 18. A limited comparison is the distinction between a land contract and a completed conveyance in England and Wales, with contractual formalities under section 2 of the Law of Property (Miscellaneous Provisions) Act 1989. Bulgarian transfer requirements remain decisive.
A preliminary agreement commits the parties to conclude the final transaction on identifiable essential terms. Paying the whole price does not itself make the buyer owner. The agreement should identify the future apartment, its location and area method, common shares, associated storage or parking rights, price and transfer conditions. A reservation receipt with no sufficiently determined object or agreed price may not support the same claim. The buyer must also identify the company undertaking the transfer, since the advertising brand, landowner and builder can be different persons.
A right to build is an existing property right allowing its holder to own the resulting building separately from the land under Article 63 of the Bulgarian Ownership Act (Закон за собствеността, ЗС). English and Welsh distinctions between legal estates and limited interests provide a broad functional comparison, although Bulgarian superficies is not simply an English lease. Its actual constituting instrument determines which units are allocated and what land use accompanies them. Buying that right before completion exposes the purchaser to the remaining construction obligations and their funding, rather than delivering a finished home by legal fiction.
The object capable of transfer changes with construction progress. The Bulgarian Spatial Development Act (Закон за устройство на територията, ЗУТ) permits transfer of the building right before rough construction and transfer of the building or independent parts afterwards under Article 181(1) and (2). Its public planning function is broadly comparable to planning permission under the Town and Country Planning Act 1990 in England and Wales. Rough construction requires enclosing walls and roof under supplementary provision §5, item 46. Completion of an apartment’s floor slab alone is therefore insufficient. The evidence establishing the stage must fit Article 181(3) and the applicable transitional certification procedure.
The significance of the whole building is also reflected in Interpretative Decision No. 1 of 4 May 2012 in interpretative case No. 1/2011 of the Supreme Court of Cassation’s General Assembly of the Civil College. For the unified grant addressed in point 1, exercise of the building right requires rough construction of the building or separately permitted stage. The ruling does not make every individual grant identical. For a purchaser, the practical question is whether the promised unit and relevant stage have actually reached the legal threshold, not whether an agent has started calling the project finished.
Structural progress, contractual delivery and lawful use are separate events. A finished-looking apartment may still lack compliant common systems, documents or commissioning. Conversely, a properly transferred unfinished unit can belong to the buyer before occupation is permitted. The contract should state which event triggers each payment and whether the developer promises to obtain the required commissioning document by a fixed date. An obligation merely to submit an application is different from an obligation to secure lawful use, particularly where the authority identifies missing work.
The commissioning route depends on the category under Article 177 of ЗУТ. Categories one to three require a use permit from the competent National Construction Control Directorate authority, while categories four and five use a commissioning certificate from the authority that issued the building permit. Occupation before the required commissioning is prohibited by Article 178(1). Keys, a functioning lift or neighbours already living in the building do not replace the required act. The document must cover the actual building or permitted stage containing the purchased apartment.
The forms have different functions under Article 7(3), items 14 to 16 of Bulgarian Ordinance No. 3 of 31 July 2003 on Drawing Up Acts and Protocols During Construction (Наредба № 3 от 31 юли 2003 г. за съставяне на актове и протоколи по време на строителството, Наредба № 3). Technical completion documentation likewise forms part of building control in England and Wales, but those documents are not equivalents of each Bulgarian numbered form. Act 14 concerns structural acceptance, Act 15 readiness for acceptance and the construction participants’ handover, and Protocol 16 the state acceptance commission’s assessment where that procedure applies.
Act 14 does not automatically establish that enclosing walls and roof satisfy the rough-construction test. Act 15 does not itself grant permission to occupy. Protocol 16 supports the relevant use-permit process and should not be confused with the final permit or treated as universally required for every category. The buyer should obtain the actual signed document and relevant permit or certificate, rather than accept a sales email announcing that the project has reached “Act 16”.
Missing a deadline normally raises a question of nonperformance, not automatic disappearance of the agreement. Performance and compensation can be sought under Article 79 of ЗЗД. Rescission under Article 87 generally requires an appropriate additional period and warning, in writing where the contract is written. The statutory exceptions include impossibility attributable to the debtor, performance made useless by delay and a truly essential time. Minor nonperformance does not justify rescission. A postponed decorative detail and a building incapable of lawful occupation may therefore lead to different responses.
Identify the obligation actually overdue and any justified buyer contribution. A buyer-requested redesign may explain part of the delay but not months of unrelated inactivity. For a construction obligation, Article 262(2) can matter when timely or proper completion has become evidently impossible. A valid claim for return of payments after rescission is different from insisting that the same preliminary agreement be performed through a final transfer. Before choosing, compare the prospect of obtaining the apartment with the realistic recoverability of money from the responsible company.
A calendar instalment and one payable upon a documented stage have different triggers. If payment is due after a specified construction act and written notification, the creditor must establish that contractual event. If the agreement instead requires an advance on a fixed date, lack of later progress does not automatically change that date. The buyer may have a defence of nonperformance under Article 90 of ЗЗД where its conditions are met, but should connect the withheld amount to the reciprocal obligation rather than stop all payments without explanation.
A workable payment clause identifies the building or stage, the document proving completion and the time allowed for payment after delivery of that evidence. It should also distinguish a measurement adjustment from extra work. An apartment advertised by total area including common shares may have a different figure from its usable internal area without any physical shortfall. Compare the agreed calculation and approved plan before accepting either an increase or a claim of missing space. Payments to a broker or another group company also need an identified contractual basis to count toward the developer’s price.
Non-completion means promised work remains undone, while a defect means performed work fails the agreed or ordinary standard. For the construction component, Articles 261 and 265 of ЗЗД support free correction within an appropriate period, necessary repair costs or reduction of remuneration. Substantial defects making the work unfit can support rescission under Article 265(2). These remedies must be directed against the party owing the relevant construction obligation. The purchaser’s developer and the building contractor are not automatically interchangeable defendants.
Acceptance matters. Visible reservations should be recorded when work is accepted, while hidden defects require notice immediately after discovery under Article 264(2), subject to the contractor’s knowledge exception. The five year period for construction defect rights under Article 265(3) is not a universal warranty for every possible building claim. Minimum construction guarantees operate separately through Article 160(3) to (5) of ЗУТ, with applicable periods depending on the work and commencement tied to commissioning. A structural engineer’s findings about cause, safety, fitness and repair cost help distinguish urgent remedial work from an unfinished contractual item and preserve the appropriate claim.

An increase needs a legal or contractual basis and a verifiable calculation. The Bulgarian Obligations and Contracts Act (Закон за задълженията и договорите, ЗЗД) gives the agreed bargain binding force under Article 20a. For a construction component, Article 266(2) also addresses changes in properly determined material or labour prices, even where remuneration was agreed as a total. Its application and any contractual allocation of that risk require analysis. A limited English and Welsh comparison is binding information about qualifying consumer services and its alteration by express agreement under section 50 of the Consumer Rights Act 2015. Neither system makes an unsupported invoice conclusive.
An indexed price, additional work ordered by the buyer and an attempt to transfer the developer’s losses are different claims. For qualifying consumers, the Bulgarian Consumer Protection Act (Закон за защита на потребителите, ЗЗП) requires assessment of transparency and significant imbalance under Articles 143 to 146. A limited English and Welsh comparison is the fairness assessment under section 62 of the Consumer Rights Act 2015. A clear objective index can differ from a discretionary power to demand any increase. The developer must identify the contractual base, relevant dates, quantities and calculation, while unfair-term analysis considers the applicable statutory qualifications rather than declaring every adjustment invalid.
Match the seller’s ownership or building-right instrument to the land, apartment and promised shares. Then match the building permit and approved plans to the same object. The Bulgarian Spatial Development Act (Закон за устройство на територията, ЗУТ) regulates permission and project changes through Articles 148 and 154. Its public planning function is comparable at a broad level to planning control under the Town and Country Planning Act 1990 in England and Wales. A permit authorises construction within its scope, but does not prove that the developer owns every unit advertised or can transfer it free of security.
The useful comparison is between versions. Identify the original specification, approved amendments, the variation the buyer signed and the work now being invoiced. A developer cannot establish the purchaser’s agreement to a more expensive finish merely by showing that its architect approved it. Conversely, a buyer’s signed instruction for additional work can justify a separate charge even where the main sale price remains fixed. Check the permit’s continuing effectiveness, the named construction participants and whether the relevant commissioning application concerns the whole project or only a stage excluding the purchased unit.
An engineer should compare measured work with the approved design and contractual specification, identify missing items and explain their effect on completion or safe use. For delay, dates of required approvals, site stoppages, buyer instructions and actual work help distinguish causes. A photograph of an empty site does not prove which party caused every lost week. For a disputed increase, quantities and material specifications are more useful than a general statement that building costs have risen. An expert should separate original work, agreed additions and correction of the developer’s own defective performance.
Court-appointed expertise follows Articles 195 and 202 of the Bulgarian Civil Procedure Code (Граждански процесуален кодекс, ГПК). The closest English and Welsh procedural comparison is expert evidence under Part 35 of the Civil Procedure Rules. The specialist answers technical questions; the court determines liability and contract meaning. If repairs or further work may remove evidence, preservation under Article 207 can be appropriate before the main claim. Record measurements, samples where justified and the condition before intervention, while taking necessary safety measures. A private report can help frame the case but is not automatically equivalent to a judicial expert opinion.
A sale does not itself erase an existing mortgage. The creditor’s right to priority from the mortgaged property irrespective of its owner follows Article 173 of ЗЗД. Establish the mortgage’s described object, registration and relationship to the building right and units. Do not infer either that every apartment is automatically covered or that subdivision automatically frees the buyer’s unit. A preliminary purchaser who has paid substantial instalments does not thereby obtain priority over the bank.
A release arrangement should identify the particular unit, amount, payment recipient and conditions under which the bank will release its security. Paying the developer against its promise to “sort out the bank” is different from a coordinated arrangement with the mortgage creditor. Cancellation requires the prescribed basis, including notarised creditor consent or a final judgment, under Article 179 of ЗЗД. Verify the resulting registry entry after completion. A promise to release and an accomplished cancellation are different stages, and payment planning should reflect that distinction.
If the buyer still wants the property and the preliminary contract remains effective, Article 19(3) of ЗЗД permits a claim for a judgment replacing the final contract. The court examines the seller’s title and transfer prerequisites under Article 363 of ГПК. An unpaid balance is not invariably fatal. Interpretative Decision No. 4 of 9 May 2023 in interpretative case No. 4/2020 of the Supreme Court of Cassation’s General Assembly of the Civil and Commercial Colleges permits conditional relief under Article 362(1) even where the agreement stipulates full payment before transfer. The ruling does not cure a missing transferable object or a seller’s lack of title.
The buyer must perform the condition within two weeks after the judgment becomes final, with the consequence of possible invalidation on the defendant’s request under Article 362(2). Protecting the property position also requires attention to claim registration under Article 114, letter b of the Bulgarian Ownership Act (Закон за собствеността, ЗС). The English and Welsh system likewise distinguishes personal contracts from interests protected through land registration, although its priority rules differ. A claim for repayment after valid rescission instead seeks money and needs a recovery strategy, potentially including interim security under Articles 389 and 391 of ГПК. A favourable repayment judgment does not reserve the apartment for the buyer.
Use direct documentary confirmation at the points affecting payment and transfer. A representative can obtain the relevant permit, approved revisions and available commissioning record from the competent authority, while a technical professional assesses the site. Registry information should be refreshed before a major payment or conveyance, because a certificate obtained at reservation does not describe later mortgages or competing dispositions. The inspection mandate should cover the unit, promised common areas and connections, not merely photographs of the apartment’s interior.
Agree what a representative may accept. Attendance at an inspection should not silently become authority to approve all defects, increase the price or waive delay claims. A revised timetable should list remaining obligations and explain which existing claims survive. For the construction relationship, Article 262(1) of ЗЗД allows inspection without obstructing the contractor, but a preliminary purchaser’s access also depends on the actual contractual position. Arrange safe access and reporting with the responsible participants. Entering a construction site without agreement is not a substitute for a documented inspection right.
The route follows the objective. A notary can complete a voluntary property conveyance when the prerequisites are satisfied. A disputed demand for a final contract goes to the civil court, with territorial competence for the specified property-contract claims governed by Article 109 of ГПК and subject-matter competence by Articles 103 and 104. The precise claim matters for other consumer or monetary disputes. A complaint about unlawful construction does not ask the authority to award contractual compensation, and an engineer cannot compel the seller to sign a deed.
For commissioning, Article 177(2) and (3) of ЗУТ identifies the competent construction-control or permit-issuing authority according to category. Separate administrative issues from the developer’s contractual obligation to obtain the needed result. Before proceedings, establish whether completion is technically achievable, whether the developer can transfer the promised rights and whether it has assets to repay the buyer. If insolvency has opened, an ordinary demand letter or new instalment does not preserve a claim within the collective process. The actual opening decision and the buyer’s existing proprietary or purely contractual position determine the next procedural assessment.
For a conveyance requiring a notarial instrument, authority must meet Article 37 of ЗЗД, including simultaneous notarisation of signature and content. Foreign execution therefore requires advance coordination of the instrument, authentication and applicable treaty or legalisation requirements. An apostille establishes origin rather than adequate disposal powers. Litigation authority under Articles 33 and 34 of ГПК is a separate matter, with express powers needed for settlement or receiving money. A power to inspect an apartment should not be assumed to authorise a price increase or release of claims.
Foreign-language evidence requires an accurate Bulgarian translation certified by the party under Article 185 of ГПК, with checking where needed. Preserve complete bank records tying each instalment to the actual contracting company, rather than only an overseas transfer instruction. If enforcement is needed abroad, first identify which company was ordered to pay and where it has assets. For civil or commercial judgments within Regulation (EU) No 1215/2012, Articles 39, 42 and 53 provide the relevant recognition and enforcement framework, including the judgment copy and originating court certificate. A Bulgarian project brand does not make a different overseas group company liable for the judgment.
