Legal Assistance for Buying Property in Bulgaria

A reservation payment does not necessarily secure ownership or bind the seller. ARG helps establish what the buyer is acquiring, which payments are recoverable and what must happen before final transfer.

Property Purchase

Clients often contact ARG after paying to reserve an apartment and discovering that the seller has not signed the reservation form. Others have agreed a completion date before their bank has approved financing or before a mortgage release has been arranged. These problems turn on the actual obligations already accepted.

ARG can arrange advice and representation through authorised Bulgarian lawyers in these situations.

  • A reservation fee or advance is requested before the owner’s documents are supplied.
  • The preliminary contract makes payment due before title or financing conditions are resolved.
  • A mortgage, tenant or competing owner may affect the purchase.
  • The buyer or seller intends to sign through a representative abroad.
  • The seller refuses final transfer and the buyer must choose completion or repayment.

A promise is not ownership

A preliminary contract creates obligations concerning the future sale but does not itself transfer the property.

(002)
The payment’s function matters

A reservation fee, advance and earnest money arrangement can create different rights if completion fails.

Align money with performance

The payment sequence should correspond to the documents and legal result required at each stage.

Completion includes follow-through

Registration, possession and outstanding releases must be verified against the agreed purchase terms.

What rights does a buyer obtain under a Bulgarian real estate purchase contract?

The legal effect of a document follows its substance, rather than the reassuring name printed above the signatures. A preliminary contract must be written and contain the essential terms of the intended final agreement where that transaction requires notarial form, according to Article 19, paragraphs 1 and 2 of the Bulgarian Obligations and Contracts Act (Закон за задълженията и договорите, ЗЗД). A limited comparison with England and Wales is useful here. Written agreement is also central to a land contract under section 2 of the Law of Property (Miscellaneous Provisions) Act 1989, but its rules should not be imported into Bulgarian conveyancing. For a Bulgarian purchase, the question is whether the parties have actually agreed an identifiable property, a price or a workable means of determining it, and an obligation to conclude the sale.

What is the legal difference between a preliminary contract and a notarial deed?

The buyer should also separate a promise to sell from ownership itself. The ordinary contractual transfer of real property requires a notarial deed under Article 18 ЗЗД. A preliminary contract gives contractual rights and may support a later court claim, but paying the full price under it does not by itself turn the buyer into the owner. Receiving keys or beginning decoration should therefore prompt additional questions. Who bears the agreed expenses if completion fails, what use is permitted meanwhile, and can the buyer recover the cost of approved work? An informal early handover can create a factual situation much more complicated than the original purchase timetable suggests.

Bulgarian law provides a meaningful remedy when a valid preliminary contract remains binding and the other party will not complete. Either party may seek a judgment replacing the final contract under Article 19, paragraph 3 ЗЗД. The Supreme Court of Cassation's Interpretative Decision No. 4 of 9 May 2023 in Interpretative Case No. 4/2020, General Assembly of the Civil and Commercial Colleges, confirms that an unpaid balance is not invariably a bar to that remedy, including where the agreement links completion to full payment. The decision addresses the statutory conditional completion procedure. It does not excuse the buyer from paying, revive a validly terminated contract, or guarantee success whenever a reservation form has been signed.

When does ownership transfer and why does registration matter?

For an ordinary sale by the true owner, the transfer is made through the required final notarial transaction, rather than by the preliminary payment or delivery of keys. Registration then matters for opposability to competing rights. The Ownership Act (Закон за собствеността, ЗС) addresses competing acquisitions from the same transferor in Article 113. Its broad subject is comparable to estates and interests in land in England and Wales, but Bulgarian registration should not be equated with an identical English title guarantee. A buyer must distinguish a formally executed deed, its registration and whether the seller actually had the right being transferred.

That distinction explains why the title investigation comes before completion. Registration does not generally repair a transfer by someone who was not the owner. Equally, a change of cadastral identifier does not necessarily mean the underlying property changed hands. The deed, historical acquisition documents and current description must identify the same asset and the exact shares or limited rights included. A parking space shown in a brochure, for example, may be a separate object, a share in another object or merely an agreed use arrangement. Those are different acquisitions with different practical limits.

What distinguishes a reservation fee, advance payment and earnest money?

The first payment needs equally precise treatment. An advance towards the price, a fee for a separate service, and earnest money perform different functions. Earnest money evidences and secures the contract under Article 93 ЗЗД. Depending on which party is responsible for nonperformance and which remedy is properly exercised, its consequences can include retention or a claim for twice the amount. These consequences should not be assumed simply because an email uses the English word deposit. The entire agreement, the purpose of the payment, the recipient, and any repayment conditions must be read together under Article 20 ЗЗД. A bank receipt proves that money moved, but normally does not establish every term on which it was transferred.

A form signed only by an intermediary deserves particular attention. The intermediary may promise to stop advertising, arrange documents, or hold money while the owner considers an offer. Those promises do not necessarily amount to the owner's undertaking to transfer ownership. The buyer should establish whether the signatory acts in their own name or under an authority that genuinely binds the seller. An attractive description of an apartment cannot cure an absence of agreement by the person who is supposed to sell it. Conversely, a document described as a reservation can contain obligations substantial enough to need careful contractual analysis before either side treats it as freely cancellable.

When may a buyer recover money after a failed transaction?

Termination and repayment involve different questions. Termination for attributable nonperformance generally requires an appropriate additional period and a warning under Article 87 ЗЗД, subject to the exceptions whose statutory conditions are met. The form of the agreement and the nature of the rights already transferred also matter. A preliminary agreement should not be confused with a completed sale of an immovable property when choosing the procedure. Once the legal basis for termination is established, the character of each payment must be examined. The buyer may have paid part of the price, earnest money, an intermediary's fee, or costs owed to a third party, and those sums do not necessarily share the same repayment rule.

An advance paid without a legal basis, for a contemplated basis that never arose, or on a basis later removed is recoverable under Article 55, paragraph 1 of ЗЗД when the relevant facts are proved. A valid termination may therefore support return of the price already paid; the buyer must identify the recipient and the basis that failed. Earnest money follows the distinct remedy in Article 93. If the party receiving it is responsible for nonperformance, the other party may withdraw and claim twice the earnest money where the statutory conditions are met. This is not an automatic doubling of every reservation payment. Compensation for proven nonperformance losses may also require analysis under Articles 79, 82 and 88, with the chosen remedy and amounts coordinated to avoid duplicating the same recovery.

How does a developer promise differ from an existing transferable property right?

A developer’s promise to deliver an apartment creates contractual expectations only to the extent that the agreement binds the relevant party. It does not prove that a completed, separately transferable apartment already exists or belongs to the developer. A building right is itself a distinct real right under Article 63 of ЗС. The buyer should identify whether the proposed transaction concerns that right, an existing unit or only an obligation to construct and later transfer a unit. The amount paid is not the legal test for distinguishing them.

The project and agreement should connect the promised apartment with land ownership, the developer’s building entitlement and the approved description. Completion dates, specification and access to common facilities matter, but they do not substitute for an available proprietary basis. If the contract promises a future transfer, payment milestones should correspond to verifiable performance and address what happens if the developer cannot supply the promised right. A buyer should not treat a sales rendering or a reservation number as equivalent to an existing title deed.

What restrictions can affect purchase of land by a foreign individual?

Eligibility to buy land differs from eligibility to acquire a building. Citizens of EU Member States and states party to the European Economic Area Agreement may acquire land subject to the statutory requirements and Bulgaria’s accession conditions under Article 29, paragraph 2 of ЗС. Other foreign individuals cannot assume the same purchase entitlement. The general route in paragraph 1 requires a qualifying ratified, promulgated and effective international treaty; the separate possibility of inheritance by law does not authorise an ordinary purchase. Foreigners may acquire buildings and limited real rights unless legislation provides otherwise under paragraph 4. An apartment package should therefore be checked for any land share rather than assessed only by its marketing description.

Agricultural or other specially regulated land can require additional analysis. Purchasing through a company should therefore follow a verified legal structure, rather than an assurance that a company automatically permits every land acquisition. Where the buyer cannot acquire the land on the proposed basis, an alternative involving a different object or lawful structure must be evaluated for what rights it actually delivers. A change of buyer also needs agreement on existing payments and obligations; money paid by one person does not silently convert a preliminary contract into an agreement with another.

How are financing, mortgage release and settlement coordinated?

An existing mortgage presents a different kind of problem. It may be entirely compatible with a successful purchase if the parties can arrange repayment and discharge on reliable terms. The buyer needs that mechanism because the security can be enforced against the property after a change of ownership under Article 173, paragraph 1 ЗЗД. Cancellation of the mortgage entry requires the prescribed basis under Article 179 ЗЗД. Payment of the underlying debt and cancellation of the registered security are connected but distinct steps. The buyer should obtain an explanation of both, including what evidence will be supplied and who is responsible for ensuring that the agreed discharge is completed.

Financing conditions should be tested before they become contractual deadlines. A preliminary indication from a bank may still depend on a valuation, title review, identity checks, and proof of the origin of funds. If the buyer has committed to pay by an unconditional date, those remaining steps can place the buyer in default even though the delay feels administrative. A realistic timetable allows the parties to request documents, resolve discrepancies, and arrange transfers across banking systems. Any extension should be agreed in a form that leaves clear evidence of the revised obligation. Silence, a friendly telephone conversation, or a postponed appointment should not be treated automatically as a binding extension of all contractual deadlines.

Which taxes and transaction costs follow the actual structure of the deal?

The completion budget should separate the purchase price from acquisition tax, notarial and registration fees, translation, banking and any separately agreed professional charges. The Local Taxes and Fees Act (Закон за местните данъци и такси, ЗМДТ) governs the acquisition tax under Articles 44 and 46. Its transaction-tax function is broadly comparable to property purchase taxes in England and Wales, but the bases and rates differ. For real estate, Article 46, paragraph 2, item 1 compares the agreed price with the tax valuation, applying the latter where the price is lower. The municipal council sets the applicable rate within the statutory framework under Article 47, paragraph 2. A quotation should identify the actual municipality and transaction, rather than assume one nationwide all-inclusive percentage. The agreement should also clarify whether the quoted price includes any applicable VAT and which party bears each separate expense.

What must be checked before signing a reservation agreement?

The Bulgarian Obligations and Contracts Act (Закон за задълженията и договорите, ЗЗД) supplies the contractual starting point through Articles 18 and 19, which distinguish the notarial form of the transfer from the written preliminary agreement. The nearest limited comparison in England and Wales is the formal written land contract under section 2 of the Law of Property (Miscellaneous Provisions) Act 1989, without assuming that its conveyancing sequence applies in Bulgaria. The file should therefore preserve the signed preliminary agreement and every incorporated annex, rather than only the most recent draft. If the property or price changed during negotiations, the documents should show how the parties accepted that change.

Before signing, establish who promises what and who will receive the payment. An intermediary may agree only to pause advertising, while the owner remains free of an obligation to sell. The document should identify the property, owner, amount, payment purpose, reservation period and conditions for refund or retention. If refund depends on an unsuccessful title check or financing decision, the condition needs an ascertainable event and a clear process for notifying it. A clause allowing a large payment to be retained for any reason deserves review before the money leaves the buyer’s account.

Payment evidence belongs in the same file because the nature of a payment can become disputed independently of title. A receipt, bank confirmation, invoice, and reservation agreement should be connected by amount, date, payer, recipient, and purpose. If the purchaser's spouse or company paid on the purchaser's behalf, that relationship should be explained. The legal effect of a third party's performance depends on the circumstances and the obligation being discharged. Ambiguous references such as property payment can make later reconciliation unnecessarily difficult, especially where an intermediary received one sum and the seller received another under different agreements.

Which documents establish seller identity, authority and legal ownership?

Ownership documents should be arranged chronologically and linked to the current object. The lawyer should be able to follow how the seller acquired the relevant right and whether later events changed its extent or ownership. An inheritance may require evidence identifying successors. A purchase through a company requires verification of the actual entity and the people authorised to act. A representative's signature requires the underlying authority. These are enquiries directed by the facts, rather than an invitation to collect unrelated personal material. Where the file contains a gap, the buyer should know exactly what cannot yet be concluded and which record is expected to resolve it.

The Bulgarian Civil Procedure Code (Граждански процесуален кодекс, ГПК) explains the evidential importance of that discipline. The party relying on facts supporting a claim or objection generally bears the burden of proving them under Article 154, paragraph 1 ГПК. A broad functional comparison is available with the Civil Procedure Rules in England and Wales, particularly Part 32 governing evidence, although the detailed rules differ. For a purchaser, the immediate implication is practical. A message saying that a document exists is weaker than the document itself, and a partial image can omit conditions or endorsements that change its meaning. Readable complete copies should be obtained during review, with originals or appropriately certified forms arranged where the receiving procedure requires them.

A declaratory notarial deed should be accompanied by an understanding of the acquisition it recognises. The Supreme Court of Cassation's Interpretative Decision No. 11 of 21 March 2013 in Interpretative Case No. 11/2012, General Assembly of the Civil College, establishes the deed's legitimising effect without making the recognised ownership right immune from challenge. Where the deed rests on possession, the review may need to examine occupation, earlier owners, and concrete objections. The buyer should not be asked to reconstruct an unlimited history without purpose. The enquiry should focus on facts capable of affecting the present seller's ability to transfer the promised right.

How can a purchaser handle payment safely from overseas?

Banking preparation needs its own timetable. The purchasing funds may need to pass through compliance checks, currency conversion, or accounts subject to transfer limits. A bank's request for supporting documents is not proof that a purchase is defective, but it can affect whether the buyer performs on time. The buyer should obtain a realistic understanding of the steps required by the actual institutions involved and avoid promising a payment date based solely on previous experience with another bank. Where the contract makes financing conditional, the wording should identify what approval is needed and what follows if it is not obtained within the agreed period.

What if the seller signs through a foreign power of attorney?

Representation should be prepared with the same care as the sale documents. Authority to conclude a transaction requiring special form must meet the requirements of Article 37 ЗЗД, which permits authority for a notarial transaction through simultaneous certification of signature and content. The scope of the authority then matters under Article 39 ЗЗД. A document authorising negotiations does not automatically authorise acceptance of a revised price, receipt of funds, or purchase of a different object. Where an instrument is signed abroad, its authentication, translation, and acceptability for the particular Bulgarian proceeding should be established with the receiving professional before the buyer relies on travel plans or a completion date.

Potential conflicts require attention as well. A representative cannot contract with themselves or with another person they also represent without the principal's consent under Article 38 ЗЗД. A convenient proposal that one person sign for several parties should therefore be analysed rather than accepted as a routine administrative shortcut. Even where the legal requirements can be met, the buyer should understand whose instructions the person receives and how a disagreement will be handled. Independent advice is especially valuable where the proposed representative was introduced by the seller or intermediary and the transaction contains unresolved issues about price, title, or repayment.

What remedies are available if the seller refuses final transfer?

A problem discovered before the final deed may instead concern continued performance of the preliminary contract. The Supreme Court of Cassation's Interpretative Decision No. 4 of 9 May 2023 in Interpretative Case No. 4/2020, General Assembly of the Civil and Commercial Colleges, explains the possibility of conditional judicial completion despite an unpaid price balance, subject to the statutory and contractual conditions. The buyer should preserve evidence of the agreed terms, the seller's title, and the reasons for any nonpayment. That decision does not make every refusal to pay justified. It shows why the legal position should be assessed before the buyer sends a notice that may end the contractual relationship they later wish to enforce.

When a claim for completion is appropriate, the requirements of Articles 362 and 363 ГПК should be addressed from the outset. The court's ownership check remains necessary, and the buyer may need to perform the counter-obligation within two weeks after the judgment becomes final. A procedural strategy should also consider the need to protect the claim against developments affecting the property through the legally available measures. The suitability and conditions of such measures must be assessed individually. A buyer should not assume that sending a demand letter alone prevents the seller from creating further complications while negotiations continue.

How should a buyer abroad organise completion or a failed-purchase claim?

What is the notary’s role and when is a court claim necessary?

The notary’s statutory ownership and formal checks do not negotiate the buyer’s preferred allocation of commercial risk. The buyer must still decide whether to proceed with an accepted tenant, a retained part of the price or an outstanding repair obligation. A lawyer can address these conditions before signature and explain whether the proposed document actually makes them enforceable. A notarial appointment cannot resolve a genuine dispute between competing owners simply by choosing the more convincing document.

A court route becomes relevant when an enforceable preliminary contract is not completed or when another substantive dispute prevents the intended result. A completion claim, a repayment demand and a claim for damages seek different outcomes. The buyer should not send a notice terminating the contract while assuming it will remain available for judicial completion. The choice should follow the existing terms, evidence of performance and the buyer’s ability to pay any outstanding amount within the applicable procedure.

Which cross-border documents and handover arrangements need advance preparation?

Documents prepared abroad should reach the Bulgarian lawyer and notary in time to check the proposed form, translation and any required authentication. The same applies to evidence explaining changes of name, company representation or a predecessor’s status. An apostille, where applicable, concerns the origin of a public certification; it does not enlarge the authority expressed in a power of attorney or prove ownership of the apartment. The document must therefore be acceptable both formally and substantively for the requested act.

Handover deserves a separate written record even when relations remain cooperative. The parties should record the agreed condition, keys and access devices, meter readings, included furniture, documents supplied, and any outstanding work. Photographs should be linked to the date and the object they show. A statement accepting possession should not accidentally waive a specifically identified defect or promise to remedy it. If a defect emerges, the buyer should obtain advice on the appropriate notice and remedy rather than immediately removing all evidence through repairs. The sale rules in Articles 193 to 197 ЗЗД distinguish liability for defects, available remedies, and relevant periods, making the nature and discovery of the problem significant.

Questions and answers

01 / 06

Must every purchase begin with a preliminary contract?

Not necessarily. If the parties can proceed directly to a properly prepared final transfer, an additional preliminary stage may be unnecessary. The choice depends on readiness, financing and any conditions still requiring performance.

Does transferring money to an agent prove payment to the seller?

That depends on the agent’s authority and the payment arrangement. The documents should establish whether the agent receives money for the seller, for a separate service or subject to agreed holding conditions.

Can the buyer change after the reservation has been signed?

The proposed change must be checked against existing obligations and any required consent. It can also affect financing, authority, acquisition eligibility and the treatment of money already paid.

Should a buyer sign a statement that all money has been received while funds remain conditional?

The deed and payment acknowledgements should accurately reflect the actual arrangement. A proposed statement that does not match the facts should be resolved before signing.
