Property Encumbrance Checks and Mortgage Disputes in Bulgaria

A paid loan, a deleted mortgage and clear ownership are different results. ARG helps buyers and owners identify the burden, agree an effective release or challenge the appropriate debt, security or enforcement issue.

Mortgage & Encumbrances

The seller says the mortgage has been paid, but the buyer’s certificate still shows it and a later attachment. Clients ask ARG whether they can complete now and let the seller clear the entries afterwards. Payment to one creditor may leave a separate burden entirely untouched.

ARG can arrange advice and representation through authorised Bulgarian lawyers in these situations.

  • A mortgage remains registered after the seller reports repayment.
  • A development loan covers the apartment being purchased and other units.
  • A new attachment appears shortly before completion.
  • An owner who secured another person’s debt receives enforcement papers.
  • An old mortgage was registered again after the property changed hands.

A debt dispute, a mortgage objection and a complaint about enforcement follow different procedural routes.

What is a mortgage and how does it burden Bulgarian property?

A mortgage secures a claim against identified immovable property, allowing preferential payment from its value without transferring ownership to the lender. Creation by registration and individual identification are governed by Article 166 of the Obligations and Contracts Act (Закон за задълженията и договорите, ЗЗД), while Article 167 requires a notarial deed for a contractual mortgage. A mortgage in England and Wales has a comparable security purpose, but Bulgarian form, priority and enforcement rules apply to Bulgarian property. A private loan clause saying that a flat guarantees payment does not alone establish the registered real security. The mortgage may secure the owner’s own debt or a debt owed by someone else.

How do a mortgage, attachment and easement differ?

A mortgage gives a security right over the identified asset. An easement or right of use instead permits a defined use of another person’s property and may restrict what the buyer can do there without securing repayment of a loan. A right of passage can therefore remain commercially important even where no money is due. Its origin, route, scope and effect on the intended use must be examined. Removing a bank mortgage does not answer whether a neighbour retains an enforceable access right.

An attachment is a procedural measure affecting dispositions and the position of creditors. Its consequences are regulated by Articles 452 and 453 of the Civil Procedure Code (Граждански процесуален кодекс, ГПК). Civil enforcement in England and Wales likewise distinguishes procedural preservation or execution measures from a contractual mortgage, although the legal effects differ. An attachment does not make the creditor the owner or automatically create the same priority as a mortgage. The case in which it was imposed, the date of entry and any subsequent lifting must be established before the buyer assumes that a sale can defeat it.

Why does buying the property not automatically erase the mortgage?

A person acquiring a mortgaged property does not automatically assume every personal obligation under the borrower's credit agreement. The property may nevertheless remain exposed to the mortgage creditor's enforcement. This distinction matters both when negotiating the purchase and when responding to a demand. Signing a debt assumption or an additional guarantee can change the purchaser's position substantially. The apparent convenience of a bank's standard document must therefore be evaluated against its actual effects. A transaction intended to acquire an asset should not inadvertently create personal liability broader than the parties have considered or priced.

The mortgage creditor may seek preferential satisfaction from the property regardless of its subsequent owner under Article 173, paragraph 1 of ЗЗД. A seller’s promise to keep paying the loan binds the relevant contractual parties but does not itself remove the creditor’s security. If payments later stop, the buyer may face enforcement against the acquired asset even after paying the seller in full. An indemnity may give the buyer a claim against the seller, but that is different from preventing sale of the property. The purchase therefore needs an enforceable release arrangement or a deliberate, properly evaluated acceptance of the continuing burden.

How does an encumbrance search differ from investigation of ownership?

An encumbrance certificate is evidence about the registrations, annotations, and deletions falling within its stated search. Its reliability for a particular decision depends on correct identification of the property, relevant persons, and the period covered. Historical deeds may describe an apartment under an earlier number or a parcel before subdivision. The current identifier does not erase those earlier descriptions. A search that overlooks a predecessor or a former property identity can produce reassuring information about the wrong scope. The legal work is to connect the records, not merely obtain a document whose heading sounds comprehensive.

Ownership investigation asks whether the seller acquired the right being transferred. The Ownership Act (Закон за собствеността, ЗС) governs acquisition and competing rights, including Articles 77 and 113. The closest broad comparison is title investigation in English and Welsh conveyancing, although Bulgarian registration does not provide an identical title system. A clean search cannot make a non-owner entitled to sell. Conversely, an owner may hold a valid title to an asset burdened by someone else’s security. The review must answer both questions and must not treat the absence of a mortgage as proof that the whole property belongs exclusively to the seller.

What does creditor ranking determine when rights compete?

Mortgage rank follows registration under Article 169, paragraph 2 of ЗЗД. If several mortgages burden the same property, their sequence helps determine which secured creditor receives proceeds first. Distribution also follows statutory preferences under Article 136, including the applicable priority for enforcement expenses incurred for the creditors’ benefit. First-ranking mortgage therefore does not mean an unconditional right to every unit of the gross sale price. The actual secured balance, the scope of security and the expected net proceeds matter to a junior creditor and to an owner hoping to receive a surplus.

The ten-year effect of registration can be extended by timely renewal under Article 172 of ЗЗД. If the period expires, a new registration takes a new rank. In Interpretative Decision No. 3 of 17 March 2021 in Interpretative Case No. 3/2018, General Assembly of the Civil and Commercial Colleges, the Supreme Court of Cassation held that re-entry remains possible after deletion following expiry, but is not opposable to a third party who acquired ownership and registered the acquisition before the new entry, or that party’s successors. The ruling does not simply cancel every old loan. It requires the precise chronology of expiry, acquisition and registration, and distinguishes the debt from the effect of security against a particular purchaser.

When can a mortgage be discharged or challenged?

The ordinary deletion route rests on notarised creditor consent or a final court judgment under Article 179 of ЗЗД, followed by the required registry action. A repayment receipt is evidence of performance, not itself the creditor’s formal consent. A dispute may instead concern invalid creation, including uncertainty about the parties, property, claim or secured amount under Article 170, or whether the secured claim still exists. These are different grounds with different evidence. A buyer should establish what release is legally available and who must provide it before treating the registered burden as resolved.

A supposed defect in a mortgage deed requires precise analysis. An ambiguity concerning the secured claim or the identity of the property may have different consequences from a minor clerical inconsistency that can be resolved through the document as a whole. Questions about the mortgagor's ownership cannot simply be relabelled as errors in registration. Nor does the registration judge's acceptance settle all substantive disputes between the creditor and an owner. A useful opinion states the legal ground of the objection and the evidence needed to establish it, rather than declaring every irregularity a reason to ignore the security.

What changes when enforcement starts against mortgaged property?

Enforcement turns a potential security risk into a timetable of acts affecting the property. The writ against the debtor also has effect against the third party who provided mortgaged property as security when execution is directed at that property under Article 429, paragraph 3 of ГПК. Personal borrowing and exposure of the mortgaged asset remain distinct. The recipient should identify the capacity in which they are involved, the instrument being executed, the amount claimed and the actual steps already taken. Disputing a debt informally with a collection agent does not replace the procedural response to a court or enforcement officer.

Public sale has its own consequences. Mortgages and real rights created after the first mortgage are subject to Article 175 of ЗЗД, including the exception where the buyer assumes the secured obligation by agreement with the creditor. Acquisition under the final award follows Article 496, paragraph 2 of ГПК and concerns the rights the debtor had, with the stated rules about later third-party rights. An auction is therefore not a universal cure for defective ownership or every earlier right. A bidder needs the ownership and security chronology as well as the advertised description and price.

How can a buyer protect the purchase before transfer?

For a contemplated purchase, do not send an additional payment simply because the seller calls it necessary to clear the property. Establish who is entitled to receive it, which debt it will satisfy, and what evidence of release will follow. If payment is to go directly to a secured creditor, the purchase documents must explain its treatment as part of the price and what happens if completion fails. Any controlled account arrangement requires actual agreed conditions. Describing money as reserved or protected does not create a legal mechanism capable of preventing its premature release.

A bank letter should be read for its operative commitment. A statement of an outstanding balance may be accurate only on its issue date. An indicative consent may depend on further approvals, additional fees, or settlement of another facility. A letter promising to consider deletion is different from a binding undertaking to provide the required consent after identified performance. If several units secure one development loan, a payment associated with one apartment should be linked to an express release of that apartment. The buyer should not infer an individual release from the developer's general relationship with its bank.

What can the register leave unanswered about the secured debt?

A registry entry identifies legal security, not a continuously updated loan account. The secured amount and the actual unpaid balance must be distinguished under Article 174 of the Obligations and Contracts Act (Закон за задълженията и договорите, ЗЗД). Mortgage security has a comparable function in England and Wales, but the Bulgarian rules determine the secured scope, including the treatment of interest. A partial repayment may reduce what is owed without deleting the entry. Equally, a creditor may agree to release one apartment while retaining security over other assets. The required answer is the amount and conditions for the particular release, not merely the original face value.

Which certificates and creditor documents establish the mortgage and balance?

The documentary foundation normally includes the title deeds, current property description, earlier descriptions where identity has changed, and the available registry certificates. Each significant entry must then be followed to the underlying act. The mortgage deed may reveal that security extends to several properties, covers another person's debt, or incorporates an identified construction project. A deletion may concern only a specified object. An attachment may originate in protective proceedings rather than a completed judgment. Reading only the short electronic description can conceal these distinctions and create a mistaken impression about what must be resolved before completion or enforcement.

The secured claim is reconstructed separately. The original agreement establishes the basis of lending, while amendments may alter maturity, repayment arrangements, interest, or the identity of an obligor. Bank statements and receipts establish actual performance, but their allocation requires attention. A transfer labelled loan repayment does not necessarily show that the creditor accepted it as full settlement. If acceleration is relied upon, the contractual and statutory conditions and the relevant communication must be examined. The amount recorded for security is not a substitute for a reasoned calculation of the amount currently due under the obligation.

The person demanding payment must be entitled to receive it and to deliver the required release. Assignment of a mortgage-secured claim engages the form and registration requirements in Article 171 of ЗЗД. A servicing company may act for the actual creditor without owning the claim, and authority to discuss payment does not necessarily include authority to sign discharge consent. Obtain the legal basis for the current claimant’s position and identify the authorised signatory. Otherwise payment and the promised registry outcome may depend on different persons who have not accepted the same obligations.

When should payment of the price depend on an effective release?

Payment conditions should link the exact mortgage and property to the amount, recipient, deadline and document that will secure deletion. If part of the price goes directly to the lender, the sale agreement should state that this discharges the corresponding part of the buyer’s price obligation. It should also address what happens if the transfer fails after that payment. For a development mortgage, a general letter about the project is insufficient if it does not commit to releasing the specified unit. A controlled payment mechanism works only through its actual agreed conditions and the institutions able to carry them out.

A clean certificate obtained some time before completion should not become a permanent substitute for monitoring. New entries may arise, and the transaction itself may require coordinated registration of title, financing, and deletion. The appropriate fresh checks depend on the completion structure and the available registry procedure. After a deletion is requested, verify that it was actually recorded for the correct property and entry. A creditor's consent sitting in a file is not the same event as a completed registration act. Retaining the final evidence also matters when the property is later refinanced or sold.

Can an oral promise to clear a burden protect the buyer?

An oral promise does not replace the creditor’s formal consent under Article 179 of ЗЗД or the action required to lift an attachment. Even a written seller warranty ordinarily gives contractual protection against the seller rather than a power to erase another person’s registered right. The buyer should distinguish an obligation to obtain release from evidence that release has occurred. If the seller cannot produce a workable mechanism, the decision concerns whether to postpone, renegotiate conditions or exercise an available contractual remedy. Signing an unconditional completion document while relying on later cooperation transfers a different risk to the buyer.

What are the practical effects of an existing attachment?

A sale after attachment can remain ineffective against the enforcing and joined creditors in the circumstances governed by Articles 452 and 453 of the Civil Procedure Code (Граждански процесуален кодекс, ГПК). The closest English and Welsh comparison is protection of execution against later dealings, but the Bulgarian entry and opposability rules must be applied directly. The important dates are the relevant registrations, not merely when a preliminary sale contract was signed or the buyer first paid. A buyer may have a genuine contract with the seller yet still be unable to prevent the protected creditor pursuing the property.

The removal route depends on whether the attachment secures a pending claim or belongs to enforcement. Obtain the issuing act and case details, the creditor and current procedural status. Payment to a mortgage bank does not remove another creditor’s attachment. A negotiation must identify the person and authority able to secure lifting and the formal confirmation that follows. If a third party asserts ownership or the debtor challenges enforcement, the remedy must match their standing and the actual ground. A general registry deletion request cannot substitute for determination of a contested substantive right.

When must an independent title investigation supplement the search?

An ownership check remains necessary where old descriptions, inheritance, a disputed share or a declaratory deed create uncertainty about the seller’s right. Acquisition and competing same-transferor dispositions are addressed by Articles 77 and 113 of the Ownership Act (Закон за собствеността, ЗС). Its title function is broadly comparable to property-law investigation in England and Wales, but Bulgarian acquisition rules remain controlling. The deed, predecessor’s right and physical identity must agree. A certificate for the current identifier alone may leave an older parcel or a relevant predecessor outside the investigation.

Registration chronology can also supply an independent defence. The Supreme Court of Cassation’s Interpretative Decision No. 3 of 17 March 2021 in Interpretative Case No. 3/2018, General Assembly of the Civil and Commercial Colleges, protects the purchaser described in its holding from an expired mortgage newly entered after that purchaser acquired and registered title. The protection extends to that purchaser’s successors, even if their acquisition followed the new entry. Obtain the original entry, renewals or absence of timely renewal, deletion, new entry and each relevant title registration. The loan’s age or a seller’s recollection cannot establish that sequence.

How can a client abroad address a Bulgarian mortgage dispute?

Which authority can release the entry or decide the particular dispute?

The creditor supplies a consensual release in the required form, the registry procedure records the appropriate act, and a court determines a genuine dispute about debt or the mortgage right. The enforcement officer implements the enforceable instrument and statutory execution measures. These roles should not be confused. If the creditor claims interest the owner says was paid, the registry judge is not the forum for resolving the account. If the requested act is lifting an enforcement attachment, a declaration from an unrelated bank will not replace the authority responsible for that proceeding.

Appeals against enforcement acts are limited by standing and the acts listed in Article 435 of ГПК. The route in Article 436, paragraph 1 is through the enforcement officer to the regional court at the place of execution within two weeks of the applicable event. For a party present or summoned, time runs from the act; otherwise it runs from notification, and for third parties from learning of it. Filing does not automatically suspend execution under Article 438, although the court may order suspension. A debt dispute or ownership action may require a different route, so the response must identify the specific relief rather than merely announce disagreement.

Which foreign documents and payment arrangements require separate attention?

For clients outside Bulgaria, arrange a dependable channel for receiving documents and approving decisions. Give representatives authority suited to the actual task, and ensure that any creditor release signed abroad can satisfy the required Bulgarian form. Translation should be completed before committing to unfamiliar legal language, especially where a document combines discharge of security with assumption of a debt. Bank transfer timing, currency conversion, and holidays can affect a payment condition even when the legal agreement is clear. The timetable should allow the agreed evidence to be produced and checked before the next binding step.

A foreign repayment confirmation should be read for what it proves and what it omits. It may show receipt of money without meeting Bulgarian consent requirements or identifying every secured apartment. Foreign-language evidence in Bulgarian litigation requires an accurate Bulgarian translation under Article 185 of ГПК. Authentication, the representative’s powers and the creditor’s legal identity must be checked for the specific instrument. A document that also introduces a personal guarantee or debt assumption changes the client’s risk beyond release of the property. Such a change should be identified before signing, rather than discovered when a later demand reaches the client abroad.

Questions and answers

01 / 06

Does buying a mortgaged apartment make me the borrower?

Acquisition does not automatically create personal liability for the seller's loan. The property may nevertheless remain exposed to mortgage enforcement, and a separate debt assumption can change your position.

Is a bank payment confirmation enough to remove a mortgage?

It may prove payment, but the debt calculation and the formal requirements for deletion must also be checked. Obtain evidence that the required release was actually recorded.

Does an old mortgage automatically disappear?

Registration duration, timely renewal, new registration and the rights of intervening purchasers require separate analysis. The age of the original loan alone does not settle the issue.

Will an objection stop a public sale?

Not necessarily. The available challenge and any request for suspension depend on your legal position, the act concerned and the procedural stage.
