Loan Disputes

Clients often ask ARG why a lender is demanding the whole loan from the person who guaranteed it while the borrower still owns assets. Others dispute a balance that continues to grow after acceleration. The answer depends on the undertaking signed, the payments actually received and the steps taken before proceedings.

ARG can arrange advice and representation by authorised Bulgarian attorneys in situations such as these.

  • A surety receives a demand for a relative’s unpaid loan.
  • The balance includes fees or interest that do not match the agreement.
  • A borrower repaid instalments that the creditor has not credited correctly.
  • An acceleration notice was sent to an old address.
  • A payment order or enforcement notice arrives while the client is abroad.

Article 147 preserves suretyship through a special six month condition distinct from ordinary limitation.

What legal obligations arise under a Bulgarian loan agreement?

A signed document headed loan agreement does not answer every question about the underlying debt. The ordinary consumption loan requires the transfer of money or other fungible property and an obligation to return an equivalent quantity under Article 240(1) of the Obligations and Contracts Act (Закон за задълженията и договорите, ЗЗД). The same act regulates suretyship, with a written form requirement in Article 138. As a restrained comparison, guarantees in England and Wales also engage a writing requirement under section 4 of the Statute of Frauds 1677, but that does not determine the Bulgarian rules on formation or recovery.

How does a civil loan differ from regulated consumer credit?

A loan between friends and a professionally supplied consumer credit are not governed by identical requirements. The Consumer Credit Act (Закон за потребителския кредит, ЗПК) defines the consumer and professional creditor in Article 9(3) and (4), while Articles 3 and 4 determine its application and exclusions. England and Wales also provide statutory control of consumer credit relationships, including section 140A of the Consumer Credit Act 1974. The Bulgarian consequences must nevertheless be derived from the ЗПК rather than assumed from that comparison.

The borrower's purpose matters. An individual borrowing outside professional or commercial activity may qualify as a consumer, whereas the presence of a personal signature alone does not establish that status. The type of product matters too. Mortgage secured credit and credit for acquiring or retaining real property are subject to exclusions in Article 4(1), items 2 and 3. It would therefore be misleading to apply every consequence discussed here to any loan connected with a home, without first identifying the applicable statutory regime.

For a loan within the relevant scope, the contract must meet the written and presentation requirements of Article 10(1) of the ЗПК. The creditor cannot demand interest, fees, commissions or other credit costs that were not provided for in the concluded agreement, under Article 10(2). This makes the actual accepted contract and its applicable attachments essential. A tariff produced during litigation is not enough unless the creditor establishes why its provisions formed part of the parties' agreement at the relevant time.

What must a creditor prove about payment of principal and maturity?

For a private lender, actual transfer is therefore a central fact. A bank payment identifying the borrower, amount and loan purpose may provide strong evidence. A signed receipt stating that money has already been received has a different evidential significance from a promise that it will be provided later. If the agreement records a larger sum than the bank transferred, the difference needs its own explanation. A creditor cannot simply treat an unadvanced balance as money already borrowed because it appears in the contract's opening paragraph.

The recipient may dispute the purpose rather than the transfer itself. Money could have represented a gift, repayment of another debt, a business contribution or an advance for an expected transaction. These explanations must be evaluated against the parties' correspondence, payment references and subsequent conduct. A message asking for more time to repay a particular loan may support the lender's account. It does not automatically prove every additional charge or the accuracy of an amended statement produced years later.

Maturity is a separate element. If the parties agreed a definite repayment date, the creditor identifies that term and explains why it has passed. Where they did not agree otherwise, repayment becomes due one month after the lender's demand under Article 240(4) of the ЗЗД. A demand should therefore be supported by evidence of its content and receipt. A letter merely asking to discuss the relationship may not convey the same legal position as a clear request to repay the identified loan.

When is a surety personally liable for another person’s loan?

Suretyship is a separate agreement with the creditor, although it secures another person's obligation. A valid principal debt and written undertaking are required by Article 138 of the ЗЗД, and a future or conditional obligation may also be secured. The signature's position and the substance of the document matter. A person who signs as a witness does not become a surety merely because the creditor later wishes to treat that signature as security. Equally, a clear written undertaking cannot be dismissed as a social favour without legal consequences.

The agreed scope is decisive. A surety may undertake a smaller amount or lighter conditions under Article 139 of the ЗЗД. An undertaking more onerous than the principal debt is reduced within the statutory limits. The creditor should identify the secured obligation, the applicable ceiling and the basis for including interest or collection costs. The general extension to consequences of nonperformance in Article 140 must be read together with any valid limitation actually agreed by the surety.

Accessory liability nevertheless carries substantive protection. The surety can raise the principal debtor’s defences and invoke the debtor’s claim by way of set off under Article 142 of ЗЗД, including where the principal debtor has waived a defence or acknowledged the obligation. A disputed disbursement, payment already made or an unlawful component of the loan can therefore matter directly to the surety. The guarantor's defence should address the underlying account, not merely the circumstances in which the guarantee was signed.

How does suretyship differ from a co-debtor, bank guarantee or mortgage security?

A co-debtor undertakes the debt as a principal obligation. Solidarity arises through law or agreement under Articles 121 and 122 of ЗЗД, so the surety’s special six month protection cannot be assumed merely because someone borrowed for another person’s benefit. The actual undertaking matters more than the signature box’s label. Mortgage security is different again. Property can secure another person’s debt with priority from its sale price under Articles 149 and 173. A third-party owner does not thereby promise unlimited payment from all personal assets, although a separate suretyship or co-debtor undertaking can create additional exposure.

A bank guarantee is a written undertaking to pay the named beneficiary a specified sum on its stated conditions under Article 442 of the Bulgarian Commerce Act (Търговски закон, ТЗ). A useful English and Welsh comparison is the distinction between demand guarantees and accessory guarantees, which likewise requires attention to the instrument’s terms. In the Bulgarian transaction, identify the bank, beneficiary, amount, expiry and documents triggering payment. Do not apply personal suretyship rules automatically or assume every instrument called a guarantee requires payment without examining the underlying obligation.

Which events can release a surety or limit the duration of liability?

The surety's protection follows another rule. Interpretative Decision No. 5 of 21 January 2022 in interpretative case No. 5/2019 of the Supreme Court of Cassation's General Assembly of the Civil and Commercial Colleges holds that the six month period in Article 147(1) begins when the entire secured debt becomes due, including through valid acceleration. It does not run separately from the maturity of each instalment. The creditor must take the required judicial action against the principal debtor within that period to preserve the security.

Changes agreed with the borrower require equal care. An extension granted to the principal debtor does not operate against the surety without the latter's consent under Article 147(2) of the ЗЗД. The fact that the surety is the borrower's spouse or business associate does not substitute for consent. A signed amendment should be examined to establish whether the person joined as surety, merely acknowledged receipt, or entered a genuinely different obligation. The label co-debtor is not a safe substitute for analysing the contractual substance.

A creditor can also lose suretyship if its own acts prevent the paying surety from succeeding to its rights, as Article 146(3) of ЗЗД provides. The issue is the loss of the relevant recourse or security, not simply the borrower’s worsening finances. Before paying, the surety should notify the borrower and establish existing defences. Notice and the risk of duplicate payment are addressed by Articles 143 and 144, while succession to the creditor’s rights follows Article 146. Paying without coordination may leave a dispute about reimbursement even though the lender has received its money.

When are interest, fees and default charges enforceable?

Contractual remuneration also needs a lawful foundation. For an ordinary private loan, interest must be agreed in writing under Article 240(2) of the ЗЗД. The creditor's expectation of a return on the money is insufficient on its own. Default interest serves another function and must be analysed against maturity and delay under Articles 84 and 86. Keeping principal, remuneration and compensation for delay separate often reveals why a claimed total is larger than the legally recoverable amount.

A particular fee may fail even where the agreement otherwise survives. Drawdown and management fees are prohibited by Article 10a(2) of ЗПК, and its Article 10(2) prevents collection of costs not provided for in the contract. The factual inquiry asks what activity the charge represents and whether it duplicates another payment. Evidence that a supposed optional service was indispensable to obtaining the advertised credit can affect the assessment of total cost. The legal analysis follows the substance of the arrangement rather than its marketing description.

Default charges require their own check. Compensation for delay under Article 33 of ЗПК is tied to the overdue amount and the period of delay and cannot exceed statutory interest. The creditor may not refuse partial consumer payments. A package of repeated reminder fees, collection charges and penalties should therefore be examined for whether it circumvents that protection. The result depends on the actual terms and legal character of each sum, not on a general assumption that every creditor expense is recoverable from the consumer.

The annual percentage rate provides a further control. Its calculation under Article 19 includes the relevant total cost of credit, and Article 19(4) limits it by reference to five times the statutory interest for delay. Clauses exceeding that ceiling are void under Article 19(5), with the consequence addressed in paragraph 6. A reliable assessment therefore requires the actual disbursement, repayment dates and mandatory costs. A small advertised monthly rate may obscure a different economic burden once compulsory payments are included.

What is the difference between acceleration and the original repayment schedule?

An instalment schedule ordinarily permits the borrower to retain the benefit of the later payment dates while complying with the agreement. A missed instalment makes that instalment overdue; it does not automatically establish that every remaining payment is presently recoverable. The creditor must identify the legal or contractual condition permitting acceleration and demonstrate its occurrence. A disputed payment allocation can therefore affect more than the amount of arrears. It may determine whether the threshold for exercising acceleration was reached at all.

The declaration exercising the right also matters. In point 18 of Interpretative Decision No. 4 of 18 June 2014 in interpretative case No. 4/2013, the Supreme Court of Cassation's General Assembly of the Civil and Commercial Colleges addressed bank credit claims pursued through order proceedings and the subsequent establishment action. The bank must exercise its right and notify the debtor before the application for the payment order. Contract wording suggesting automatic acceleration does not dispense with the required communication in that setting.

Once acceleration is effective, future contractual remuneration cannot simply be imported from the abandoned schedule. In point 2 of Interpretative Decision No. 3 of 27 March 2019 in interpretative case No. 3/2017, the same General Assembly held that the postacceleration claim comprises the unpaid principal and statutory interest from acceleration until payment. Its reasoning separately preserves assessment of the period before acceleration under the then operative agreement. The distinction prevents recovery of remuneration for future use of capital whose immediate return the creditor has already required.

Can unlawful or unfair lending arrangements affect enforceability?

The Consumer Credit Act (Закон за потребителския кредит, ЗПК) establishes a special framework for covered professional lending to consumers. Its definitions and exclusions in Articles 3, 4 and 9 must be checked before relying on its remedies. England and Wales have a comparable protective field under the Consumer Credit Act 1974, including control of unfair credit relationships under section 140A, but the Bulgarian statute specifies its own requirements and consequences. A commercial borrower cannot acquire consumer remedies solely by describing a loan as personal.

A disputed charge needs a specific legal explanation. The prohibition on fees for drawing down or managing credit in Article 10a(2) of ЗПК differs from the annual percentage rate ceiling in Article 19 and the default compensation limit in Article 33. Unfair-term scrutiny remains available through Article 24 even where a printed rate falls below the numerical ceiling. The specified defects in Article 22 can instead invalidate the covered agreement, with Article 23 limiting return to net credit without interest or other credit costs. Challenging one fee therefore does not establish that the principal disappears.

A reliable case file begins with the transaction's legal components. The principal obligation under Article 240(1) of the Obligations and Contracts Act (Закон за задълженията и договорите, ЗЗД) depends on the ordinary loan's transfer of money and duty to return its equivalent. Written suretyship is separately regulated by Article 138. England and Wales also require attention to signed writing for guarantees under section 4 of the Statute of Frauds 1677, but the Bulgarian documents determine the actual undertaking and the defences considered here.

Which account statements and repayment records establish the true outstanding balance?

The creditor should connect the contract to the disbursement. This may require a bank statement showing the recipient account, a signed receipt or evidence that payment to a third party was made on the borrower's authorised instructions. A statement recording only an internal booking does not necessarily prove that the borrower received or validly directed the funds. Where several advances were made, each should be linked to the agreement and the amount claimed. A later consolidated balance should not conceal an unproved original transfer.

The borrower should assemble payment evidence with equal precision. A transfer confirmation shows more when it identifies the beneficiary, account, date and payment reference. If money was paid in cash, the receipt's wording and signature become important. The right to request evidence of performance under Article 77 of the ЗЗД is practically valuable because recollection becomes less reliable after relationships deteriorate. A payment to a collector or intermediary also requires proof that it discharged the relevant creditor's claim rather than a separate obligation. Where payment does not cover lawful costs, interest and principal, Article 76(2) of ЗЗД ordinarily allocates it in that order. Reconstructing the account therefore requires removing unlawful charges before applying the correct allocation, rather than merely subtracting every transfer from the originally advanced principal.

The allocation of proof follows Article 154(1) of the Civil Procedure Code (Граждански процесуален кодекс, ГПК). England and Wales likewise have a structured procedure for defending civil claims under Part 15 of the Civil Procedure Rules, but Bulgarian evidence and response requirements apply here. The creditor proves the facts creating its claim, while a borrower alleging repayment establishes that extinguishing fact. Each party should identify the fact a document proves rather than submit a large unexplained collection and expect the court to construct the argument.

An accounting expert can reconstruct alternative balances under Articles 195 and 202 of the ГПК, but cannot decide the legal validity of a fee or the effectiveness of acceleration. The questions should therefore state separate assumptions for the court to assess. One calculation may follow the creditor's schedule, another exclude a challenged management charge, and another reflect the consequences of an invalid consumer agreement. A mathematically correct answer to the wrong legal premise can otherwise make an unlawful balance appear authoritative.

How does an overdue notice affect the borrower and the surety differently?

The acceleration evidence needs its own chain. Point 18 of Interpretative Decision No. 4 of 18 June 2014 in interpretative case No. 4/2013 of the Supreme Court of Cassation's General Assembly of the Civil and Commercial Colleges requires the bank's exercise and notification of acceleration before the payment order application in the setting addressed there. The notice, delivery record and application date should therefore be compared directly. A gap may affect the maturity of the whole balance even when the underlying disbursement is admitted.

For the borrower, a notice may establish demand, delay or the exercise of acceleration, depending on the agreement and legal rule. For the surety, the date the whole secured debt validly becomes due also starts the special preservation period under Article 147(1) of ЗЗД. A collection letter addressed to the surety does not replace the creditor’s required judicial action against the principal debtor. An extension agreed only with the borrower does not bind the surety without consent under Article 147(2). Keep the actual declaration and delivery evidence, since a dispatch date alone may answer none of those questions.

Can enforcement start against the surety before recovery from the borrower?

Liability is ordinarily solidary with that of the principal debtor under Article 141 of the ЗЗД. The creditor is therefore not generally required to exhaust the borrower's assets before pursuing the surety. This can be surprising to someone who assumed that payment would be requested only after an unsuccessful enforcement process. Where several sureties are involved, each may face the whole secured obligation unless division was agreed. Their later internal contribution rights do not automatically limit what the creditor can initially claim.

The creditor must also have preserved the suretyship itself. Interpretative Decision No. 5 of 21 January 2022 in interpretative case No. 5/2019 of the Supreme Court of Cassation’s General Assembly of the Civil and Commercial Colleges ties the six month period in Article 147(1) of ЗЗД to maturity of the entire debt, including valid acceleration. Compare that date with the judicial step against the principal debtor. A claim against the surety alone does not answer the statutory requirement concerning the principal debtor.

What does the limitation period run from for each obligation?

For ordinary limitation, the due date of each instalment is important. Interpretative Decision No. 3 of 21 November 2024 in interpretative case No. 3/2023 of the Supreme Court of Cassation's General Assembly of the Civil and Commercial Colleges resolves the issue for principal instalments and remunerative interest. Limitation begins separately when each payment falls due. Principal is generally subject to the five year period under Article 110 of the ЗЗД, whereas interest falls within the three year rule in Article 111, letter c.

Acceleration changes the position for the principal that was not yet due. The 2024 ruling explains that its limitation begins when valid acceleration makes it payable. Already overdue instalments keep their existing starting dates. A creditor therefore cannot revive an old instalment merely by including it in a later acceleration notice. Equally, a debtor cannot date the entire loan's limitation from the first missed instalment when later instalments had not yet matured and no effective acceleration had occurred.

Interruption requires a separate factual inquiry under Article 116 of the ЗЗД. A legally effective acknowledgement, appropriate judicial action or qualifying enforcement act can matter, but the chronology must identify the particular event and the claim affected. Ordinary limitation is not applied by the court on its own initiative under Article 120. The defendant should therefore raise the defence and explain the relevant instalments rather than expect the judge to reconstruct an unpleaded position from a lengthy bank statement.

Limitation events are also personal in the manner specified by Article 148 of the ЗЗД. Interruption or waiver in relation to the principal debtor does not automatically operate against the surety, and the converse is equally important. The principal debtor's admission therefore should not be treated as universal permission to pursue every person connected with the loan indefinitely. The surety's own communications and procedural conduct need separate assessment, alongside the preservation requirement under Article 147.

What changes when the lender or borrower is established abroad?

An overseas address does not itself turn a private loan into consumer credit or remove a professional lender’s consumer obligations. Purpose, party status and the exclusions in Articles 3, 4 and 9 of ЗПК remain material. Jurisdiction must then be separated from governing law. For qualifying consumer contracts within Regulation (EU) No 1215/2012, Articles 17 to 19 provide protective forum rules, including the general restriction that proceedings against the consumer be brought in the courts of the Member State of the consumer’s domicile. Their conditions and permitted exceptions must be checked rather than assuming that a Bulgarian forum clause decides the issue.

The borrower and surety also have distinct procedural positions. A court’s competence over the borrower does not by itself settle competence over a separate surety, whose own status and undertaking require examination. Establish each defendant’s domicile, the contractual activity directed to the relevant state and the place of assets before choosing proceedings. A foreign address may require cross-border service, so delivery evidence and the document actually served matter. Negotiations by telephone do not substitute for responding to the court that has served the claim or order.

How can an overseas client respond to a Bulgarian loan demand or judgment?

Which court and procedural response fit a payment demand or immediate enforcement?

An ordinary payment claim follows subject-matter competence under Articles 103 and 104 of ГПК and, for consumer cases, the territorial rule in Article 113. A claim and a payment-order application are different procedural routes. If immediate execution has already been granted, an objection to the debt, an appeal against the enforcement authorisation and a request for a stay address different questions. The one month appeal under Article 419 is submitted with the objection. Choosing only to negotiate can leave executable authority in place while the balance remains contested.

The exact document served determines the procedural response. A payment order is not the same as a final judgment after a contested trial, and immediate enforcement is a further issue. The debtor generally has one month from service to object to the payment order under Article 414(2) of ГПК, and that period cannot be extended. The ordinary objection need not contain reasons, subject to the special payment situation regulated by Article 414a. Its purpose is to contest the claim within the prescribed procedural route.

A stay requires separate attention under Article 420 of the ГПК. For the documents covered by paragraph 1, objection alone generally does not stop enforcement. The provision allows appropriate security, with a specific limitation for a consumer debtor. A stay without that security is also available under paragraph 2 on a supported request with written evidence that the claim is not due, rests on an unfair consumer term or is incorrectly calculated under a consumer contract. The request should connect the documents to one of those grounds rather than rely on hardship alone.

Which foreign records and enforcement documents matter in a loan dispute?

A foreign bank record should identify the sender, beneficiary, account, transaction date, currency and amount actually credited. A transfer instruction proves less than confirmation that the money reached the agreed recipient, especially where fees, conversion or an intermediary account are involved. Foreign-language documents require an accurate Bulgarian translation certified by the party under Article 185 of ГПК, with expert checking where necessary or challenged. The complete record should connect each payment to the disputed loan, not merely show that the parties exchanged money at some point.

For an enforceable civil or commercial judgment from another EU Member State within Regulation (EU) No 1215/2012, Articles 39, 42 and 53 provide the enforcement framework, including the judgment copy and the originating court’s certificate. A creditor cannot use a judgment solely against the borrower as though it also ordered an independently liable surety to pay. Outside that framework, the relevant treaty or national recognition rules must be established before execution in Bulgaria. Representation under Articles 33 and 34 of ГПК also needs the proper written authority, with express powers for settlement or receiving money rather than an assumed general permission.

Questions and answers

01 / 06

Can a lender claim a private loan without proving that money was provided?

Delivery is a key element of the ordinary loan for consumption. The document and payment evidence must establish the actual arrangement, with a separate assessment where the dispute concerns a commitment to provide future funding.

Must the lender first recover everything possible from the borrower before claiming against a surety?

Not generally. A Bulgarian surety normally has solidary liability, subject to the scope of the undertaking and the available statutory and personal defences.

Does the six month period under Article 147 run from every instalment?

For an instalment debt, the interpretative rule connects the period to maturity of the whole debt, including effective acceleration. The creditor’s legally relevant action against the principal debtor must then be checked separately from ordinary limitation.

Does an inadequate creditworthiness check automatically cancel the entire consumer debt?

No such conclusion should be assumed. The applicable duty, statutory sanction, grounds of invalidity and relevant European requirements must be examined. Net capital, interest and costs can have different treatment.
